This Purchase Order is issued by the Toronto Metropolitan Environmental Authority to formally engage the services of a qualified Environmental Engineer and associated technical team for the comprehensive environmental impact assessment, remediation planning, and regulatory compliance review of the proposed Lake Ontario Shoreline Industrial Corridor Project. The scope of work under this Purchase Order is to be executed within the jurisdiction of Canada Toronto, specifically within the City of Toronto municipal boundaries and the adjacent provincial waters of Lake Ontario.
The Environmental Engineer engaged under this Purchase Order shall hold a valid Professional Engineer (P.Eng.) license issued by the Professional Engineers Ontario (PEO) body and shall possess a minimum of fifteen (15) years of documented experience in environmental engineering within the Canada Toronto metropolitan region. 5.1 This Purchase Order is governed by the laws of the Province of Ontario and the federal laws of Canada applicable within Canada Toronto. Any disputes arising from the interpretation or execution of this Purchase Order shall be resolved through arbitration in accordance with the Arbitration Act, 1991 (Ontario), with the seat of arbitration located in Canada Toronto.
5.2 The Environmental Engineer named in Section 2 shall remain the primary point of contact and technical authority for the duration of this Purchase Order. Substitution of the lead Environmental Engineer requires prior written approval from the Buyer. All sub-consultants engaged by the Environmental Engineer must hold appropriate Ontario professional licensure and must operate in full compliance with the Ontario Environmental Protection Act, 1990.
5.3 All fieldwork, laboratory sampling, and site inspections under this Purchase Order shall be conducted within the municipal boundaries of Canada Toronto unless otherwise authorized in writing by the Buyer. The Environmental Engineer shall comply with all City of Toronto bylaws, provincial environmental regulations, and federal Canadian environmental statutes applicable to the project area.
5.4 Payment terms: Net 45 days from receipt of a valid invoice. Invoices shall reference this Purchase Order number (PO-2025-ENV-04782) and shall be submitted to the Buyer's accounts payable department at the address listed in Section 1. Payment shall be made via electronic funds transfer (EFT) to the account designated by the Supplier.
5.5 The Environmental Engineer shall maintain a minimum of $5,000,000 in professional liability insurance and $2,000,000 in commercial general liability insurance, with the Buyer named as an additional insured. Certificates of insurance shall be provided prior to commencement of work under this Purchase Order.
5.6 All deliverables, reports, data sets, and intellectual property produced under this Purchase Order shall become the sole property of the Buyer upon full payment. The Environmental Engineer shall provide all source data, GIS layers, and modelling files in formats compatible with the City of Toronto's open data portal.
5.7 The Environmental Engineer shall comply with all applicable Canadian privacy legislation, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and the Ontario Personal Health Information Protection Act (PHIPA), when handling any personal data encountered during the course of this Purchase Order.
5.8 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Environmental Engineer shall deliver all completed work product to the Buyer and shall be compensated for work satisfactorily performed up to the date of termination.
