This Purchase Order is issued by GreenScape Environmental Consulting Group Co., Ltd. (hereinafter referred to as the "Purchaser") to engage the services of a qualified Environmental Engineer (hereinafter referred to as the "Service Provider") for the execution of environmental impact assessment, pollution control design, and regulatory compliance activities in and around China Beijing. The scope of work under this Purchase Order encompasses all professional engineering services required to support the Purchaser's Phase III industrial development project located in the Yizhuang Economic Development Zone, China Beijing.
The Environmental Engineer engaged under this Purchase Order shall hold a valid Chinese Registered Environmental Engineer (注册环保工程师) certification issued by the Ministry of Housing and Urban-Rural Development of the People's Republic of China, and shall possess a minimum of ten (10) years of demonstrated professional experience in industrial environmental engineering within the China Beijing metropolitan region. The Environmental Engineer shall be responsible for, but not limited to, the following deliverables:

All services rendered under this Purchase Order shall be performed primarily at the project site located at Plot 17, Yizhuang Economic Development Zone, Daxing District, China Beijing, 100176. The Environmental Engineer shall conduct all on-site inspections, sampling activities, and stakeholder meetings within the administrative boundaries of China Beijing. Any travel to satellite monitoring stations in the surrounding Tongzhou or Shunyi districts of China Beijing shall be considered within the scope of this Purchase Order and shall not incur additional charges.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the People's Republic of China and the Environmental Protection Law of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Beijing Arbitration Commission (BAC) in China Beijing.
- Commencement and Duration: The Environmental Engineer shall commence work no later than 21 June 2025. The total contract period under this Purchase Order shall be fourteen (14) months from the date of commencement, subject to extension by mutual written agreement.
- Payment Schedule: Payment shall be made in three installments: 30% upon execution of this Purchase Order, 40% upon completion and approval of the EIA Report by the China Beijing Municipal Ecology and Environment Bureau, and 30% upon final acceptance of all deliverables. All payments shall be made via bank transfer to the Service Provider's designated account in China Beijing.
- Regulatory Compliance: The Environmental Engineer shall ensure that all work performed under this Purchase Order complies with the current environmental regulations of China Beijing, including but not limited to the Beijing Municipal Emission Standards for Industrial Wastewater (DB11/ 890) and the Beijing Air Pollution Prevention and Control Regulations.
- Intellectual Property: All reports, designs, drawings, and data produced by the Environmental Engineer under this Purchase Order shall become the sole property of the Purchaser upon full payment. The Environmental Engineer shall not reuse, publish, or disclose any project-specific information pertaining to the China Beijing site without prior written consent.
- Insurance and Liability: The Environmental Engineer shall maintain professional indemnity insurance with a minimum coverage of CNY 5,000,000 for the duration of this Purchase Order. The Service Provider shall be liable for any damages arising from negligence or non-compliance with the specifications outlined in this Purchase Order.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Purchaser shall pay for all services satisfactorily rendered up to the termination date. Termination shall not relieve the Environmental Engineer of obligations already accrued under this Purchase Order.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated lockdowns in China Beijing, or changes in environmental legislation.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical, commercial, and operational information exchanged in connection with this Purchase Order. This obligation shall survive the expiration or termination of this Purchase Order for a period of five (5) years.
- Amendments: No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties. All amendments shall reference this Purchase Order number (PO-2025-ENV-0472).
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Environmental Engineer for the China Beijing project. This Purchase Order constitutes a binding agreement upon execution by both parties.
