This Purchase Order is issued by the Ethiopian Environmental Infrastructure Development Authority (hereinafter referred to as the "Buyer") to Green Horizon Environmental Consulting PLC (hereinafter referred to as the "Seller") for the engagement of a qualified Environmental Engineer to provide comprehensive environmental assessment, monitoring, and remediation services within the Ethiopia Addis Ababa metropolitan area. The Environmental Engineer shall be responsible for conducting baseline environmental impact assessments, designing pollution control systems, overseeing waste management infrastructure, and ensuring full compliance with the Federal Environmental Protection Agency (FEPA) regulations of Ethiopia.

The Environmental Engineer engaged under this Purchase Order must hold a minimum of a Bachelor's degree in Environmental Engineering or a closely related discipline from a recognized Ethiopian or internationally accredited university, with a minimum of eight (8) years of progressive professional experience in environmental consulting within Ethiopia. The Environmental Engineer must be a registered member of the Ethiopian Engineers Association and must demonstrate proven experience in conducting environmental impact assessments, designing pollution abatement systems, and managing environmental compliance programs specifically within the Ethiopia Addis Ababa regulatory framework. The Seller warrants that the Environmental Engineer assigned to this Purchase Order shall not be reassigned without the prior written consent of the Buyer.
3. Terms and Conditions- Payment Terms: Payment shall be made in monthly installments within thirty (30) days of receipt of a valid invoice from the Seller. All payments under this Purchase Order shall be processed in Ethiopian Birr (ETB) through the Buyer's designated bank account at Commercial Bank of Ethiopia, Addis Ababa branch. A 10% retention shall be withheld from each monthly payment and released upon satisfactory completion of the full project term.
- Performance Security: The Seller shall provide a bank guarantee equivalent to 10% of the total Purchase Order value, issued by a licensed Ethiopian bank, valid for the duration of the contract plus sixty (60) days.
- Deliverables: The Environmental Engineer shall submit monthly progress reports, quarterly environmental monitoring data, and a final comprehensive report upon project completion. All deliverables must be submitted to the Buyer's office in Ethiopia Addis Ababa in both hard copy (three copies) and electronic format.
- Compliance: All services rendered under this Purchase Order shall strictly comply with the Environmental Impact Assessment and Management Proclamation (No. 299/2002) of Ethiopia, the Federal Environmental Protection Agency directives, and all applicable municipal bylaws of the Addis Ababa City Administration.
- Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of material breach by the Seller, the Buyer may terminate immediately upon fourteen (14) days written notice. Termination shall not affect any accrued rights or obligations.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be attempted to be resolved through amicable negotiation. Failing resolution within thirty (30) days, the dispute shall be referred to arbitration in accordance with the rules of the Ethiopian Arbitration and Conciliation Centre, seated in Ethiopia Addis Ababa. The language of arbitration shall be English.
- Confidentiality: The Seller and the assigned Environmental Engineer shall treat all data, site information, and proprietary documents received in the course of this Purchase Order as strictly confidential and shall not disclose them to any third party without the Buyer's written authorization.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, civil unrest, or government-imposed restrictions within Ethiopia Addis Ababa or the broader Ethiopian territory.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of Environmental Engineer services in Ethiopia Addis Ababa. This document constitutes a binding agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the subject matter herein.
