All services under this Purchase Order shall be performed on-site and in the immediate vicinity of the project location at 14–22 Quai de Rive Neuve, 13002 Marseille, France. The Environmental Engineer assigned to this contract must hold a valid French engineering degree (Diplôme d'Ingénieur) with a specialisation in environmental sciences, be registered with the Ordre des Ingénieurs, and possess a minimum of eight (8) years of demonstrated experience in urban environmental remediation within the Provence-Alpes-Côte d'Azur region. All fieldwork, laboratory coordination, and regulatory submissions shall be conducted within the administrative boundaries of France Marseille and its metropolitan area, in strict adherence to local municipal by-laws and the specific environmental protection zones designated by the Métropole Aix-Marseille-Provence.

Payment for services rendered under this Purchase Order shall be made by bank transfer (virement SEPA) to the supplier's designated account in accordance with the following schedule: 30% upon formal acceptance of this Purchase Order by both parties; 40% upon delivery and approval of the Environmental Impact Assessment Report (Line Item 02); 20% upon completion of the Remediation Plan (Line Item 03); and the remaining 10% upon issuance of the Final Compliance Certification (Line Item 05). Invoices must reference this Purchase Order number (FR-MRS-2025-00472) and shall be payable within thirty (30) calendar days of receipt. Late payments shall accrue interest at the rate prescribed by Article L441-10 of the French Code de commerce.

  1. This Purchase Order is governed by the laws of the French Republic. Any dispute arising from its interpretation or execution shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Marseille.
  2. The Environmental Engineer and all subcontracted personnel must comply with the French Labour Code (Code du travail), applicable health and safety regulations (Code du travail, Livre IV), and the specific site safety plan established by the general contractor.
  3. The supplier warrants that all Environmental Engineer deliverables shall meet the technical standards set forth in the French Environmental Code (Code de l'environnement, Part L214 et seq.) and the relevant European Union directives applicable in France Marseille.
  4. Confidentiality: All data, sampling results, and proprietary methodologies exchanged under this Purchase Order shall be treated as strictly confidential and shall not be disclosed to third parties without prior written consent, in accordance with the French Data Protection Act and the GDPR as implemented in France.
  5. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters affecting the Marseille coastline, government-mandated work stoppages, or public health emergencies.
  6. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the supplier shall be compensated for all Environmental Engineer services completed and documented up to the effective date of termination.
  7. Insurance: The supplier shall maintain professional liability insurance (assurance responsabilité civile professionnelle) with a minimum coverage of €5,000,000 per occurrence, valid throughout the duration of this Purchase Order and for a period of five (5) years thereafter.
  8. All reports, plans, and certifications produced under this Purchase Order shall be submitted in both French and English, in digital (PDF) and hard-copy format (three copies), to the purchasing entity's office in France Marseille.

By signing below, both parties acknowledge that this Purchase Order has been reviewed, understood, and accepted in its entirety. The engagement of the Environmental Engineer services described herein is hereby authorised, and the supplier is instructed to commence mobilisation within ten (10) business days of the effective date of this Purchase Order.
