This Purchase Order is issued by GreenSolutions Engineering GmbH to formally request and authorize the engagement of a qualified Environmental Engineer to perform comprehensive environmental impact assessments, regulatory compliance audits, and sustainability consulting services. The scope of work under this Purchase Order is specifically tied to projects located in and around Germany Berlin, including but not limited to the districts of Mitte, Charlottenburg-Wilmersdorf, Tempelhof-Schöneberg, and the surrounding metropolitan area.
The Environmental Engineer shall be a licensed professional registered with the relevant German engineering chamber (Ingenieurkammer Berlin) and shall hold a minimum of ten (10) years of documented experience in environmental engineering, water resource management, air quality monitoring, soil remediation, and ecological impact assessment within the German regulatory framework.

The Environmental Engineer shall commence work no later than 1 July 2025 at the designated project sites in Germany Berlin. All deliverables referenced in Section 3 of this Purchase Order must be completed in accordance with the following milestone schedule:
- Milestone 1 (31 July 2025): Completion of the Environmental Impact Assessment draft for the Spree River Corridor project.
- Milestone 2 (30 September 2025): Submission of all air quality monitoring data and preliminary soil/groundwater findings from the Berlin-Lichtenberg site.
- Milestone 3 (31 October 2025): Delivery of the regulatory compliance audit report and all required environmental permit applications to the Berlin State Office.
- Milestone 4 (31 December 2025): Final Environmental Sustainability Report submitted to the Berlin Senate and the Federal Environment Agency.
- This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Germany Berlin.
- The Environmental Engineer engaged under this Purchase Order shall comply with all applicable German and European environmental legislation, including the Federal Immission Control Act (BImSchG), the Federal Water Act (WHG), the Federal Soil Protection Act (BBodSchG), and the relevant provisions of the Berlin State Environmental Protection Act (BImSchG Berlin).
- All work performed by the Environmental Engineer shall be conducted in Germany Berlin unless otherwise agreed in writing by both parties. Travel and accommodation expenses incurred within the Berlin metropolitan area are included in the unit rates specified in Section 3.
- Payment shall be made via bank transfer to the account designated by the Seller within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the statutory rate under § 288 of the German Civil Code (BGB).
- The Seller warrants that the Environmental Engineer assigned to this Purchase Order holds all necessary professional licenses, certifications, and professional liability insurance (Berufshaftpflichtversicherung) with a minimum coverage of €5,000,000 per claim.
- Confidentiality: All data, reports, and findings generated under this Purchase Order relating to projects in Germany Berlin shall be treated as strictly confidential. The Environmental Engineer shall not disclose any project-specific information to third parties without prior written consent from GreenSolutions Engineering GmbH.
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns, or pandemics affecting operations in Germany Berlin.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered and deliverables completed up to the effective date of termination.
- Warranty: The Environmental Engineer warrants that all reports, assessments, and recommendations delivered under this Purchase Order shall be free from material defects and shall remain valid for a period of twenty-four (24) months from the date of final delivery, subject to changes in applicable law in Germany Berlin or the Federal Republic of Germany.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of an Environmental Engineer for projects located in Germany Berlin. This document constitutes a binding contractual agreement upon execution by both authorized representatives.
