  1. Acceptance of Purchase Order: By signing this Purchase Order, AlpenGrün Environmental Consulting AG acknowledges and accepts all terms, conditions, and scope of work described herein. This Purchase Order constitutes a binding contractual agreement between both parties under German civil law (BGB) and commercial law (HGB).
  2. Qualification of the Environmental Engineer: The Environmental Engineer assigned to this project must hold a recognized degree in Environmental Engineering (Umweltingenieurwesen) from a German or EU-accredited university, be a registered member of the Bavarian Chamber of Engineers, and carry professional liability insurance of no less than €5,000,000. The Environmental Engineer must demonstrate prior project experience within the Germany Munich region.
  3. Service Location: All on-site services under this Purchase Order shall be performed at the designated project location in Germany Munich, specifically the Isar Valley Industrial Zone. Any travel to secondary sites within the Munich metropolitan area (Münchner Umland) is included in the stated rates.
  4. Compliance with German and EU Law: The Environmental Engineer shall ensure all work products comply with the German Federal Soil and Sediment Guidelines (BBodSchV), the German Water Resources Act (WHG), the EU Water Framework Directive, and all applicable municipal regulations of the City of Munich.
  5. Payment Schedule: Invoices shall be submitted monthly in arrears. Payment is due within thirty (30) calendar days of the invoice date, in accordance with the German Late Payment Act (Gesetz über den Verzugszins). All payments shall be made via SEPA bank transfer to the account specified by the supplier.
  6. Confidentiality and Data Protection: Both parties agree to maintain strict confidentiality of all project data. The Environmental Engineer shall handle all environmental data in compliance with the EU General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (BDSG). All data processing related to this Purchase Order shall occur within the borders of Germany.
  7. Intellectual Property: All reports, assessments, remediation plans, and technical documentation produced by the Environmental Engineer under this Purchase Order shall become the exclusive property of Bavaria Environmental Solutions GmbH upon full payment.
  8. Termination: Either party may terminate this Purchase Order with a written notice period of thirty (30) days. In the event of termination, the Environmental Engineer shall deliver all completed work products and interim reports to the buyer within fourteen (14) days.
  9. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved by the competent courts of Munich, Germany. The parties agree to attempt mediation through the Munich Chamber of Commerce and Industry (IHK für München und Oberbayern) before initiating litigation.
  10. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns in Germany Munich, or pandemics, as defined under Section 275 of the German Civil Code (BGB).
