This Purchase Order is issued by GreenScape Infrastructure Pvt. Ltd. (hereinafter referred to as the "Buyer") to engage the services of a qualified Environmental Engineer for the execution of environmental impact assessment, remediation planning, and regulatory compliance activities in connection with the Yamuna Riverfront Remediation Phase II project. The Environmental Engineer shall provide all professional expertise, technical reports, field assessments, and advisory services as outlined in this Purchase Order, with the primary place of work and project execution situated in India New Delhi.

The Environmental Engineer engaged under this Purchase Order shall be responsible for the following:
- Conducting all field investigations, sampling, and laboratory coordination within the geographical boundaries of India New Delhi, including the Yamuna riverbank, industrial zones in Okhla and Narela, and residential wards in East and West Delhi.
- Ensuring full compliance with the Environment (Protection) Act, 1986; the Water (Prevention and Control of Pollution) Act, 1974; the Air (Prevention and Control of Pollution) Act, 1981; and all applicable CPCB and DSPCB regulations specific to the Delhi region.
- Submitting all technical reports, data sets, and compliance documentation to the Buyer's project office located at Sector 62, Noida Extension, New Delhi, within the timelines specified in this Purchase Order.
- Maintaining a valid professional registration with the Institution of Engineers (India) and the Delhi State Pollution Control Board throughout the duration of this engagement.
- Providing a minimum of two on-site visits per week at the project locations in India New Delhi during active fieldwork phases.
- Coordinating with the Buyer's in-house project management team and any third-party contractors operating in the New Delhi project area.
- Payment shall be made in Indian Rupees (INR) via bank transfer to the account designated by the Environmental Engineer as stated in the supplier details above.
- 30% advance payment upon acceptance of this Purchase Order and submission of a signed Service Agreement.
- 40% upon successful delivery and acceptance of the EIA report and Remediation Strategy documents.
- 30% upon completion of all regulatory submissions and receipt of clearances from DSPCB/CPCB.
- Quarterly monitoring payments of ₹2,50,000 shall be due within 15 days of submission of each quarterly audit report.
- All payments are subject to the Buyer's verification of deliverables and are governed by the commercial terms applicable in India New Delhi.
- This Purchase Order is governed by and shall be construed in accordance with the laws of India, with jurisdiction vested in the competent courts of India New Delhi.
- The Environmental Engineer shall maintain professional indemnity insurance of not less than ₹50,00,000 for the duration of the engagement.
- Confidentiality: All data, reports, and project information obtained in the course of this engagement shall remain the exclusive property of the Buyer. The Environmental Engineer shall not disclose any proprietary information to third parties without prior written consent.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government orders, or public health emergencies affecting operations in India New Delhi.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through mediation in New Delhi. If unresolved within 60 days, the matter shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in New Delhi, India.
- This Purchase Order becomes effective upon signature by both parties and remains valid until the completion of all deliverables or until 31 December 2026, whichever is earlier.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Environmental Engineer for the specified project in India New Delhi.
