Scope of Work – Environmental Engineer Services

This Purchase Order is issued by PT Nusantara Green Infrastructure Solutions (hereinafter referred to as "the Buyer") to PT EcoConsult Asia Pacific (hereinafter referred to as "the Vendor") for the engagement of a qualified Environmental Engineer to provide comprehensive environmental consulting, impact assessment, and regulatory compliance services for the Buyer's new manufacturing facility located in the South Jakarta Industrial Zone, Indonesia Jakarta. The Environmental Engineer shall be responsible for conducting all phases of environmental due diligence, preparing the Environmental Impact Assessment (AMDAL) documentation in accordance with Indonesian Ministry of Environment and Forestry regulations (Permen LHK No. 4 of 2021), and ensuring full compliance with all local and national environmental standards applicable to industrial operations in Indonesia Jakarta.

Note: All prices are quoted in Indonesian Rupiah (IDR) and are inclusive of all travel, accommodation, and fieldwork expenses within the Indonesia Jakarta metropolitan area. The Environmental Engineer shall be provided with a dedicated workstation at the Buyer's project office located at Jl. TB Simatupang Kav. 88, Jakarta Selatan. Any services rendered outside the Indonesia Jakarta administrative boundary shall be subject to a separate cost agreement. Terms and Conditions

1. Commencement and Duration: The Environmental Engineer shall commence services no later than 1 July 2025. The initial engagement period under this Purchase Order is twelve (12) months, extendable by mutual written agreement. All work shall be performed at the project site in Indonesia Jakarta unless otherwise directed in writing by the Buyer.

2. Qualifications: The Environmental Engineer assigned to this Purchase Order must hold a minimum of a Bachelor's degree in Environmental Engineering or a related discipline from an accredited Indonesian university, possess a valid Professional Engineer (P.Eng.) license registered with the Indonesian Professional Engineers Association (IAI), and demonstrate a minimum of ten (10) years of experience in industrial environmental consulting within Indonesia Jakarta or comparable urban industrial settings.

3. Deliverables: All deliverables, including but not limited to the AMDAL report, UKL-UPL documentation, monitoring reports, and compliance certificates, shall be submitted in both Bahasa Indonesia and English. Electronic copies shall be provided in PDF format, and three (3) hard-bound copies shall be delivered to the Buyer's office in Indonesia Jakarta.

4. Payment Schedule: Payment shall be made in three (3) installments: 30% upon execution of this Purchase Order, 40% upon submission and approval of the AMDAL documentation, and 30% upon completion of the twelve-month monitoring period. All payments shall be made via bank transfer to the Vendor's designated account in Indonesia Jakarta.

5. Intellectual Property: All reports, data, models, and documentation produced by the Environmental Engineer under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Vendor shall not reuse, publish, or disclose any project-specific information pertaining to the Indonesia Jakarta facility without prior written consent.

6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the termination date. The Environmental Engineer shall ensure a smooth knowledge transfer and handover of all ongoing work related to the Indonesia Jakarta project.

7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Indonesia. Any disputes arising from this Purchase Order shall be resolved through arbitration in Indonesia Jakarta in accordance with the rules of the Indonesian National Board of Arbitration (BANI).

8. Insurance and Liability: The Vendor shall maintain professional indemnity insurance with a minimum coverage of IDR 5,000,000,000 for the duration of this Purchase Order. The Environmental Engineer shall be fully liable for any regulatory penalties or environmental damages arising from professional negligence in the performance of duties in Indonesia Jakarta.
