This Purchase Order is issued to procure the professional services of a qualified Environmental Engineer to conduct comprehensive environmental impact assessments, regulatory compliance audits, and sustainability planning for the Israel Jerusalem metropolitan area. The selected Environmental Engineer shall possess a minimum of ten (10) years of experience in environmental engineering within Israel and must hold a valid license issued by the Israel Engineers Association.

- Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by the supplier. The Environmental Engineer engaged under this Purchase Order shall comply with all applicable Israeli environmental laws, including the Environmental Protection Law, 5736-1976, and all regulations promulgated by the Israel Ministry of Environmental Protection.
- Performance Period: Services shall commence on July 1, 2025, and the primary project deliverables shall be completed no later than December 31, 2025. The monthly monitoring services (Item 4) shall extend through June 30, 2026. All work shall be performed within the Israel Jerusalem jurisdiction unless otherwise specified in writing.
- Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice. Milestone payments shall be issued upon completion of each phase as defined in the project schedule. The total value of this Purchase Order is subject to the rates specified herein and shall not be exceeded without a formal amendment signed by both parties.
- Qualifications: The Environmental Engineer assigned to this Purchase Order must hold a B.Sc. or M.Sc. in Environmental Engineering from an accredited Israeli or internationally recognized university, and must be a registered member in good standing with the Israel Engineers Association. A copy of the professional license shall be provided prior to commencement of work.
- Deliverables: All reports, assessments, and technical documentation produced under this Purchase Order shall be submitted in both Hebrew and English. Digital copies in PDF format and editable source files shall be delivered to the Israel Jerusalem Municipal Environmental Authority within five (5) business days of completion.
- Confidentiality: The Environmental Engineer and all subcontractors shall maintain strict confidentiality regarding all data, findings, and proprietary information related to Israel Jerusalem municipal infrastructure and environmental systems. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Insurance: The supplier shall maintain professional liability insurance with a minimum coverage of ILS 2,000,000 and general liability insurance of ILS 1,000,000 for the duration of this Purchase Order. Certificates of insurance shall be provided upon request.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination for convenience, the Environmental Engineer shall be compensated for all work completed and documented up to the date of termination. Termination for cause may be effected immediately upon material breach.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising from this Purchase Order shall be resolved through arbitration in Israel Jerusalem in accordance with the provisions of the Israeli Arbitration Law, 5728-1968.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting Israel Jerusalem.
All on-site inspections, sampling, and fieldwork related to this Purchase Order shall be conducted at locations within Israel Jerusalem as designated by the Municipal Environmental Authority. The Environmental Engineer shall coordinate site access through the project manager assigned by the buyer. All fieldwork shall comply with Israel Jerusalem municipal safety regulations and the supplier's own occupational health and safety protocols.
