The Environmental Engineer engaged under this Purchase Order must hold a recognised degree in Environmental Engineering (Laurea Magistrale in Ingegneria Ambientale) from an accredited Italian university, be registered with the Order of Engineers (Ordine degli Ingegneri) of the Rome province, and possess a minimum of ten (10) years of documented professional experience in environmental consulting within Italy. The engineer must demonstrate prior experience with projects in the Rome metropolitan area, including familiarity with the specific regulatory framework of Lazio region, the Rome Municipal Environmental Code, and the directives issued by the Italian Ministry of Environment, Energy and Territorial Cohesion (MASE).

All deliverables specified in this Purchase Order shall be completed in accordance with the following timeline. The Environmental Engineer shall commence work no later than 1 July 2025 and shall complete all services by 30 June 2026, unless otherwise agreed in writing. Milestone-based progress reports shall be submitted to the buyer's Procurement Director on the last working day of each month. All on-site inspections, sampling activities, and field surveys shall be conducted at the designated locations within Italy Rome and its immediate metropolitan zone as specified in the project annexes attached to this Purchase Order.

Payment for services rendered under this Purchase Order shall be made via bank transfer (bonifico bancario) to the supplier's designated Italian bank account. Invoices shall be submitted monthly in arrears and are payable within thirty (30) calendar days of receipt of a valid invoice. A retention of five percent (5%) shall be withheld from each milestone payment and released upon final acceptance of all deliverables. Late payments shall accrue interest at the rate prescribed by Italian Legislative Decree No. 231/2002. All amounts stated in this Purchase Order are denominated in Euro (EUR) and are subject to the applicable Italian Value Added Tax (IVA) at the standard rate of 22%.

  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts of Rome, Italy.
  2. Confidentiality: The Environmental Engineer shall treat all data, site information, and proprietary documents received in the course of this engagement as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
  3. Insurance: The supplier shall maintain, at its own cost, professional liability insurance (RC Professionale) with a minimum coverage of EUR 1,000,000 per occurrence, valid throughout the territory of Italy, including the Rome metropolitan area.
  4. Compliance: All services shall be performed in strict compliance with Italian environmental legislation, including but not limited to Legislative Decree 152/2006 (Environmental Code), EU Directive 2010/75/EU on Industrial Emissions, and all applicable Rome municipal by-laws.
  5. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the buyer shall pay for all services satisfactorily completed up to the date of termination.
  6. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting the Rome area.
  7. Subcontracting: The supplier shall not subcontract any portion of the Environmental Engineer services without prior written consent from the buyer. Any approved subcontractor shall be bound by the same terms as this Purchase Order.
  8. Intellectual Property: All reports, assessments, designs, and documentation produced under this Purchase Order shall become the exclusive property of the buyer upon full payment. The Environmental Engineer retains the right to reference the project in general professional portfolios, subject to the buyer's prior written approval.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. The buyer authorises the supplier to commence the engagement of the Environmental Engineer for the services described herein, to be performed at the locations specified in Italy Rome and the surrounding Lazio region. This Purchase Order is valid for a period of twelve (12) months from the date of issue, after which it shall require formal renewal.
