- Scope of Work: The Environmental Engineer engaged under this Purchase Order shall perform all duties exclusively within the jurisdiction of Japan Osaka, including but not limited to the wards of Kita-ku, Chuo-ku, Nishi-ku, and the Osaka Port industrial zone. Any work requiring travel outside Japan Osaka must be pre-approved in writing by the Buyer.
- Qualifications: The Environmental Engineer must hold a valid registration with the Japan Institute of Environmental Engineers (JIEE), possess a minimum of eight (8) years of professional experience in environmental engineering, and demonstrate fluency in both Japanese and English for all reporting and stakeholder communications in Japan Osaka.
- Payment Terms: Payment shall be made in three (3) equal installments: 40% upon execution of this Purchase Order, 35% upon completion of the midpoint project review, and 25% upon final acceptance of all deliverables. All payments shall be made via bank transfer to the account designated by GreenScape Environmental Consulting K.K. in Japan Osaka.
- Delivery / Commencement: The Environmental Engineer shall commence on-site work in Japan Osaka no later than 1 July 2025. A detailed project schedule, including milestones and deliverable dates, shall be submitted to the Buyer within ten (10) business days of this Purchase Order's effective date.
- Regulatory Compliance: All services rendered by the Environmental Engineer shall comply with the Japanese Environmental Basic Law (Act No. 93 of 1993), the Osaka Prefectural Environmental Conservation Ordinance, and all applicable national and municipal regulations governing environmental engineering practice in Japan Osaka.
- Intellectual Property: All reports, designs, data sets, and documentation produced by the Environmental Engineer in the course of this Purchase Order shall become the sole property of the Buyer upon full payment. The Environmental Engineer shall not reproduce or distribute any project materials without prior written consent.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered and materials procured up to the termination date. The Environmental Engineer shall return all project documents and equipment to the Buyer within fourteen (14) days of termination.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation under the rules of the Osaka Arbitration Center. If mediation fails, the matter shall be submitted to the Osaka District Court, Japan Osaka, as the exclusive forum for litigation.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan, with specific reference to the commercial and environmental statutes applicable in Japan Osaka.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Environmental Engineer in Japan Osaka. This Purchase Order constitutes a binding agreement between the Buyer and the Seller effective from the date of the last signature.
