- Acceptance: This Purchase Order shall become effective upon written acceptance by the Seller. The Environmental Engineer designated by the Seller must be confirmed in writing within five (5) business days of this Purchase Order's issuance.
- Performance Location: All services under this Purchase Order shall be performed at the designated project sites within Japan Tokyo. The Environmental Engineer is expected to be physically present at the Japan Tokyo project site a minimum of five (5) days per week during active assessment phases.
- Compliance: The Environmental Engineer shall adhere to all applicable Japanese national and Japan Tokyo municipal environmental regulations, including but not limited to the Basic Act for Environmental Policy, the Noise and Vibration Control Act, and the Tokyo Metropolitan Construction Ordinance.
- Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-JT-2025-004782) and the specific line item(s) being billed. Payment shall be made via bank transfer to the account designated by EarthCore Environmental Consulting Group.
- Deliverables: All reports, assessments, and documentation produced by the Environmental Engineer must be submitted in both English and Japanese. Final deliverables for Japan Tokyo regulatory submission must be formatted per Tokyo Metropolitan Government guidelines.
- Confidentiality: The Environmental Engineer agrees to maintain strict confidentiality regarding all project data, proprietary information, and sensitive environmental findings related to the Japan Tokyo project. This obligation survives termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Environmental Engineer shall be compensated for all services rendered up to the termination date, plus reasonable demobilization costs.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Japan Tokyo under the rules of the Japan Commercial Arbitration Association.
- Insurance: The Environmental Engineer and the Seller shall maintain professional liability insurance with a minimum coverage of JPY 100,000,000, valid throughout the duration of this Purchase Order in Japan Tokyo.
