This Purchase Order is issued by GreenSolutions Environmental Consulting Ltd. to formally engage the services of a qualified Environmental Engineer to carry out comprehensive environmental impact assessments, compliance audits, and remediation planning for industrial and commercial projects located within the Kenya Nairobi metropolitan area and its surrounding counties. The Environmental Engineer engaged under this Purchase Order shall deliver the following to GreenSolutions Environmental Consulting Ltd. and the relevant Kenya Nairobi regulatory authorities:
- A complete Environmental Impact Assessment report formatted in accordance with NEMA's EIA and Audit Regulations (2003) for submission to the National Environment Management Authority office in Kenya Nairobi.
- Quarterly compliance monitoring reports including water quality analysis, air emission measurements, and solid waste tracking for all designated Kenya Nairobi sites.
- A detailed waste management audit report with a 5-year remediation roadmap compliant with the Kenya Nairobi City County Waste Management By-Laws.
- Air quality and noise pollution baseline data with recommendations for mitigation measures.
- A reviewed and updated Environmental Management Plan ready for NEMA approval.
- Monthly on-site supervision reports documenting environmental compliance during the construction phase.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Kenya, including the Environmental Management and Coordination Act (EMCA) 1999, the Kenya Engineering Act, and the Kenya Nairobi City County Government regulations.
- Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid tax invoice from the Environmental Engineer's firm. Milestone payments shall be issued upon satisfactory completion and sign-off of each deliverable as outlined in Section 3.
- Performance Bond: The Environmental Engineer shall provide a performance bond equivalent to 10% of the total contract value, issued by a licensed Kenyan bank operating in Kenya Nairobi, valid for the duration of the contract plus ninety (90) days.
- Insurance: The Environmental Engineer shall maintain professional indemnity insurance of not less than KES 10,000,000 and public liability insurance of not less than KES 5,000,000 for the entire contract period.

- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Environmental Engineer shall be compensated for all work satisfactorily completed up to the date of termination.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through mediation in Kenya Nairobi. If unresolved within sixty (60) days, the matter shall be referred to arbitration under the Arbitration Act, 1995 of Kenya.
- Compliance: The Environmental Engineer warrants that all services rendered shall comply with the standards set by the Kenya Engineering Board, NEMA, and the Kenya Nairobi City County Government. Non-compliance shall constitute a material breach of this Purchase Order.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government policy changes in Kenya Nairobi, or pandemics.
By signing below, both parties acknowledge and agree to the terms, conditions, and scope of work outlined in this Purchase Order for the engagement of the Environmental Engineer in Kenya Nairobi. This document constitutes a binding agreement between the parties upon execution.
