This Purchase Order is issued by GreenScape Infrastructure Sdn. Bhd. to formally engage the services of a qualified Environmental Engineer and associated technical team provided by EcoConsult Environmental Solutions Sdn. Bhd. The scope of work shall be carried out exclusively within the jurisdiction of Malaysia Kuala Lumpur, in compliance with all applicable federal and state environmental regulations, including but not limited to the Environmental Quality Act 1974 (Act 127), the Environmental Quality (Industrial Effluents) Regulations 2009, and guidelines issued by the Department of Environment (Jabatan Alam Sekitar) of the Malaysian government.
The Environmental Engineer shall be responsible for the following deliverables and professional services:

- This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both parties. All services described herein shall be performed by a licensed Environmental Engineer registered with the Board of Engineers Malaysia (BEM) and holding a valid Class A or Class B professional practice certificate.
- The Environmental Engineer and all supporting personnel shall be physically present at the designated project site in Malaysia Kuala Lumpur during the agreed working hours, Monday through Friday, 8:00 AM to 6:00 PM, unless otherwise specified in the project schedule.
- Payment shall be made in three (3) instalments: 30% upon execution of this Purchase Order, 40% upon completion of the EIA and EMMP deliverables, and 30% upon final acceptance of the Environmental Compliance Certificate. All payments shall be made via bank transfer to the Supplier's designated account in Malaysian Ringgit (MYR).
- The Supplier warrants that the Environmental Engineer engaged under this Purchase Order possesses a minimum of ten (10) years of professional experience in environmental consultancy within Malaysia Kuala Lumpur and the surrounding Klang Valley region.
- All reports, data, and documentation produced under this engagement shall be the exclusive property of the Buyer. The Environmental Engineer shall not disclose any proprietary information to third parties without prior written consent from GreenScape Infrastructure Sdn. Bhd.
- In the event of non-compliance with environmental regulations in Malaysia Kuala Lumpur due to negligence or professional error by the Environmental Engineer, the Supplier shall bear all associated penalties, remediation costs, and legal liabilities arising therefrom.
- This Purchase Order shall be governed by and construed in accordance with the laws of Malaysia. Any disputes arising from this agreement shall be resolved through arbitration in Malaysia Kuala Lumpur in accordance with the Arbitration Act 2005.
- The Supplier shall maintain comprehensive professional indemnity insurance with a minimum coverage of MYR 5,000,000 for the duration of the engagement, naming the Buyer as an additional insured party.
- Force majeure events, including but not limited to natural disasters, government-imposed lockdowns, or pandemics affecting operations in Malaysia Kuala Lumpur, shall exempt the affected party from liability for delayed performance, provided written notice is given within five (5) business days.
The services under this Purchase Order shall commence on 1 July 2025 and are expected to be completed no later than 31 December 2025. The Environmental Engineer shall submit a detailed project timeline and milestone schedule within seven (7) calendar days of the commencement date. All fieldwork and site inspections shall be conducted at the project location in Malaysia Kuala Lumpur as specified in the attached site plan (Annexure A).
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Environmental Engineer services in Malaysia Kuala Lumpur.
