The Environmental Engineer engaged under this Purchase Order must hold a valid New Zealand Engineering Council (NZENG) registration and demonstrate a minimum of eight (8) years of professional experience in environmental engineering within the Auckland region.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of New Zealand, specifically as applicable in the Auckland region. Any disputes arising from this Purchase Order shall be resolved through the District Court of Auckland, New Zealand.
- Commencement and Duration: The Environmental Engineer shall commence all services no later than 21 July 2025. The total project duration is estimated at fourteen (14) months, subject to Auckland Council approval timelines for resource consents in New Zealand Auckland.
- Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid tax invoice from the Supplier. Milestone payments are structured as follows: 20% upon execution of this Purchase Order, 30% upon completion of the baseline survey and resource consent submission, 30% upon approval of the stormwater and contamination plans, and 20% upon delivery of the final Environmental Impact Statement.
- Qualifications: The Environmental Engineer assigned to this Purchase Order must be a Chartered Professional Engineer (CPEng) registered with Engineers New Zealand and must hold a valid New Zealand Environmental Management qualification. The Buyer reserves the right to request evidence of qualifications prior to commencement.
- Compliance with Auckland Regulations: All work performed under this Purchase Order must comply with the Auckland Unitary Plan (2016, as amended), the Auckland Council's Environmental Management Guidelines, and all relevant New Zealand Environmental Standards applicable to the New Zealand Auckland region.
- Insurance: The Supplier shall maintain Professional Indemnity Insurance of no less than NZD $5,000,000 and Public Liability Insurance of no less than NZD $10,000,000 for the duration of this Purchase Order.
- Confidentiality: All data, site information, and technical reports generated under this Purchase Order shall be treated as confidential by the Environmental Engineer and the Supplier. No information pertaining to the New Zealand Auckland project sites shall be disclosed to third parties without written consent from the Buyer.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Environmental Engineer shall deliver all completed work product and data to the Buyer within fourteen (14) days of the termination date.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters affecting New Zealand Auckland (e.g., seismic events, flooding, volcanic activity) or government-mandated shutdowns.
- Intellectual Property: All reports, plans, and technical documentation produced by the Environmental Engineer under this Purchase Order shall become the property of the Buyer upon full payment.
All deliverables under this Purchase Order shall be submitted electronically in PDF and editable formats to the Buyer's designated project manager at the Auckland Regional Infrastructure Authority, 128 Federal Street, Auckland. The Environmental Engineer shall provide progress reports on a fortnightly basis and shall attend all scheduled project review meetings held at the Buyer's Auckland offices or at the relevant New Zealand Auckland project site as required.
