1. This Purchase Order constitutes a binding agreement between the Wellington Regional Infrastructure Authority and Te Taiao Environmental Consulting Ltd upon signature by both parties. All terms are governed by the laws of New Zealand.
2. The Environmental Engineer shall maintain valid professional indemnity insurance of no less than NZD $10,000,000 for the duration of the engagement and shall provide a certificate of insurance prior to commencing work in New Zealand Wellington.
3. Payment terms: 50% upon acceptance of this Purchase Order, 30% upon completion of the Environmental Impact Assessment, and 20% upon final project sign-off. All invoices shall be submitted in New Zealand Dollars (NZD) and are payable within 20 business days.

8. Termination: Either party may terminate this Purchase Order with 30 days written notice. In the event of termination, the Environmental Engineer shall be compensated for all work completed and documented up to the termination date.
9. Disputes arising from this Purchase Order shall be resolved through mediation in Wellington, New Zealand, in accordance with the Disputes Resolution Act 2022, before any litigation is commenced.

The Environmental Engineer shall commence all services under this Purchase Order no later than 1 July 2025 at the designated project site in the Te Aro precinct, New Zealand Wellington.
