This Purchase Order is issued by GreenSolutions Environmental Consulting Ltd. to engage the services of a qualified Environmental Engineer to carry out comprehensive environmental impact assessment, waste management planning, and regulatory compliance auditing for the proposed multi-phase industrial development project located in the Apapa-Cornel complex, Nigeria Lagos. The Environmental Engineer shall be responsible for all phases of environmental due diligence, including but not limited to baseline environmental surveys, air quality monitoring, water resource assessment, soil contamination testing, and the preparation of a full Environmental Impact Assessment (EIA) report in compliance with the Federal Ministry of Environment regulations and the Nigeria Lagos State Ministry of Environment guidelines.

- Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the Supplier. The Supplier must return a signed copy of this Purchase Order within five (5) business days of receipt. Failure to respond within this period shall be construed as rejection of this Purchase Order.
- Qualification of the Environmental Engineer: The Environmental Engineer assigned to this project must hold a valid registration with the Council for the Regulation of Engineering in Nigeria (COREN), possess a minimum of a Bachelor's degree in Environmental Engineering or a closely related discipline, and demonstrate a minimum of ten (10) years of post-qualification experience in environmental impact assessments conducted within Nigeria Lagos or comparable urban industrial settings.
- Regulatory Compliance: All work performed under this Purchase Order must comply with the National Environmental Standards and Regulations Enforcement Agency (NESREA) guidelines, the Nigeria Lagos State Environmental Protection Agency (LASEPA) regulations, and all applicable federal and state environmental laws of the Federal Republic of Nigeria.
- Payment Schedule: Payment shall be made in three (3) installments: 30% upon commencement of fieldwork, 40% upon submission and approval of the EIA report by the Nigeria Lagos State Ministry of Environment, and 30% upon successful completion of the 12-month monitoring period. All payments shall be made via bank transfer to the Supplier's designated account within Nigeria Lagos.
- Intellectual Property: All reports, data, plans, and deliverables produced under this Purchase Order shall be the exclusive property of GreenSolutions Environmental Consulting Ltd. The Environmental Engineer and the Supplier shall not reproduce, distribute, or use any deliverables for any other purpose without prior written consent.
- Confidentiality: The Supplier and the assigned Environmental Engineer agree to maintain strict confidentiality regarding all project data, site information, and client details pertaining to this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Supplier shall be compensated for all work satisfactorily completed up to the date of termination, as determined by a mutually agreed independent assessor based in Nigeria Lagos.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be attempted to be resolved through amicable negotiation. If unresolved within thirty (30) days, the dispute shall be referred to arbitration in accordance with the Arbitration and Conciliation Act (Cap A18, LFN 2004), with the seat of arbitration in Nigeria Lagos.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. The courts of Nigeria Lagos shall have exclusive jurisdiction over any matters not resolved through arbitration.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, epidemics, or civil unrest affecting the Nigeria Lagos region.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. This document constitutes the full and complete agreement between the parties with respect to the engagement of the Environmental Engineer for the project described herein in Nigeria Lagos.
