2. Scope of Services – Environmental EngineerThis Purchase Order is issued to formally engage the services of a qualified Environmental Engineer to perform comprehensive environmental impact assessments, regulatory compliance audits, and sustainability consulting for the "Lima Green Corridor" infrastructure project. The Environmental Engineer shall operate exclusively within the jurisdiction of Peru Lima, adhering to all applicable national and municipal environmental regulations, including those established by the Ministry of Environment (MINAM) and the Metropolitan Municipality of Lima.
The Environmental Engineer contracted under this Purchase Order must hold a valid professional registration with the Colegio de Ingenieros del Perú (CIP) and possess a minimum of eight (8) years of documented experience in environmental engineering projects within the Peru Lima metropolitan area. The scope of work includes, but is not limited to: preparation of Environmental Impact Statements (EIA), water and air quality monitoring, waste management plan development, biodiversity impact surveys, and coordination with the Environmental Certification Office (OEFA) in Peru Lima.

- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the Civil Code of the Republic of Peru, the General Tax Code (Código Tributario), and all applicable environmental legislation in force in Peru Lima and the national territory.
- Payment Terms: Payment shall be made in three (3) equal installments via bank transfer to the supplier's account in Peru Lima. The first installment (33.33%) is due upon execution of this Purchase Order. The second installment (33.33%) is due upon completion of the EIA and field monitoring phases. The final installment (33.34%) is due upon delivery of the final sustainability report and regulatory clearance.
- Performance Bond: The Environmental Engineer or the supplier entity shall provide a performance bond equivalent to 10% of the total Purchase Order value, issued by a Peruvian financial institution operating in Peru Lima.
- Confidentiality: All data, reports, and environmental findings generated by the Environmental Engineer in the course of this Purchase Order shall be treated as strictly confidential and shall not be disclosed to third parties without written authorization from the purchasing entity.
- Compliance: The Environmental Engineer shall comply with all occupational health and safety standards, environmental regulations of the Metropolitan Municipality of Peru Lima, and the provisions of Law No. 28611 (Environmental Impact Assessment Law) and its regulations.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Environmental Engineer shall deliver all completed work products and data collected in Peru Lima to the purchasing entity.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through binding arbitration in Peru Lima, in accordance with the Arbitration Law of Peru (Law No. 26572).
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government actions, or public health emergencies affecting operations in Peru Lima.
By signing below, both parties acknowledge and agree to all terms set forth in this Purchase Order for the engagement of the Environmental Engineer services in Peru Lima. This document constitutes a binding procurement instrument under Peruvian commercial law.
