This Purchase Order is issued by Volga Environmental Compliance Group LLC (hereinafter referred to as the "Purchaser") to EcoTech Professional Services JSC (hereinafter referred to as the "Supplier") for the procurement of specialized professional services rendered by a qualified Environmental Engineer. The scope of work under this Purchase Order encompasses the full spectrum of environmental assessment, regulatory compliance auditing, and sustainability consulting required for the Purchaser's industrial facility located in the industrial district of Russia Moscow, specifically within the Moscow Oblast administrative boundaries.
The Environmental Engineer engaged under this Purchase Order shall hold a minimum of a Master's degree in Environmental Engineering from an accredited institution recognized by the Ministry of Education and Science of the Russian Federation, possess no fewer than eight (8) years of documented professional experience in environmental impact assessment, and maintain a valid professional certification issued by the Russian Association of Environmental Engineers (RAEE). The Environmental Engineer shall be physically present at the designated project site in Russia Moscow for a minimum of five (5) working days per week throughout the contracted service period.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Russian Federation and all applicable federal and municipal laws of Russia Moscow. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Moscow Arbitration Court.
- Service Period: The Environmental Engineer shall commence services on 1 July 2025 and shall continue until 30 June 2026, unless terminated earlier in accordance with the provisions of this Purchase Order.
- Payment Terms: Payment shall be made in Russian Rubles (RUB) via bank transfer to the Supplier's designated account. An initial advance payment of thirty percent (30%) of the total Purchase Order value shall be due within ten (10) business days of mutual signature. The remaining balance shall be paid in monthly installments corresponding to the completion of each deliverable milestone as outlined in Section 3.
- Performance Standards: The Environmental Engineer shall perform all duties in strict compliance with GOST standards, ISO 14001:2015 Environmental Management System requirements, and all specific environmental regulations applicable to the Moscow metropolitan area within Russia Moscow.
- Confidentiality: All data, reports, and proprietary information generated under this Purchase Order relating to the facility in Russia Moscow shall be treated as strictly confidential. The Environmental Engineer shall execute a separate Non-Disclosure Agreement (NDA) prior to commencing any fieldwork.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach by the Supplier, the Purchaser may terminate immediately upon written notice. Upon termination, the Supplier shall deliver all completed work product and raw data pertaining to the Russia Moscow site.
- Insurance and Liability: The Supplier shall maintain professional liability insurance with a minimum coverage of 25,000,000 RUB for the duration of this Purchase Order. The Environmental Engineer shall be fully indemnified by the Supplier for any claims arising from the performance of services under this Purchase Order.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Russia Moscow, or acts of war, provided that the affected party notifies the other within five (5) business days.
- Amendments: Any modification to this Purchase Order, including changes to the scope of the Environmental Engineer's duties or adjustments to the project timeline in Russia Moscow, shall be made only through a written amendment signed by authorized representatives of both parties.
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the procurement of Environmental Engineer professional services for the designated facility in Russia Moscow. The Purchaser authorizes the Supplier to dispatch the qualified Environmental Engineer to the project site, and the Supplier confirms its capacity to fulfill all obligations set forth herein within the stipulated timelines and quality standards.
