The Environmental Engineer shall possess a minimum of eight (8) years of documented professional experience in environmental engineering, hold a valid professional certification recognized by the Russian Ministry of Natural Resources and Environment, and demonstrate proficiency in Russian federal environmental legislation, including but not limited to Federal Law No. 7-FZ "On Environmental Protection" and Federal Law No. 89-FZ "On Production and Consumption Waste." The engineer must be physically present and actively working within the Russia Saint Petersburg metropolitan area for no fewer than 90% of contracted working hours.

5.1 This Purchase Order constitutes a binding agreement between the Purchasing Entity and the Vendor upon countersignature by both authorized representatives. All services described herein shall be rendered exclusively within the administrative boundaries of Russia Saint Petersburg and its immediate suburban districts as defined by Leningrad Oblast governance.

5.2 The Environmental Engineer assigned under this Purchase Order shall not be reassigned, subcontracted, or replaced without prior written consent from the Purchasing Entity. Any proposed substitution must be accompanied by a detailed CV and proof of equivalent or superior qualifications.

5.3 Payment shall be made in Russian Rubles (RUB) via bank transfer to the Vendor's designated account within thirty (30) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (RSP-EE-2025-04782) and include the Vendor's INN and KPP.

5.4 The Vendor warrants that the Environmental Engineer shall comply with all applicable Russian federal and regional environmental regulations, occupational health and safety standards, and data protection laws (Federal Law No. 152-FZ) while performing duties in Russia Saint Petersburg.

5.5 The Purchasing Entity reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of material breach, failure to meet performance milestones, or regulatory non-compliance by the Environmental Engineer.

5.6 All deliverables, reports, assessments, and technical documentation produced by the Environmental Engineer under this Purchase Order shall be the exclusive intellectual property of the Purchasing Entity upon full payment.

5.7 Disputes arising from this Purchase Order shall be resolved through arbitration at the Arbitration Court of the City of Saint Petersburg, Russia, in accordance with the applicable procedural rules.

Services under this Purchase Order shall commence on 1 July 2025 and shall continue for a period of twelve (12) months, concluding on 30 June 2026, unless extended by mutual written agreement. The Environmental Engineer is expected to be fully mobilized and on-site in Russia Saint Petersburg no later than the first business day of the commencement date.
