2. Scope of Services – Environmental Engineer EngagementThis Purchase Order is issued to formally engage a qualified Environmental Engineer to provide comprehensive environmental consultancy, impact assessment, regulatory compliance, and sustainability advisory services for the Al-Masara Environmental Infrastructure project located in Saudi Arabia Jeddah. The Environmental Engineer shall be responsible for the following deliverables and activities:

- This Purchase Order is governed by the laws of the Kingdom of Saudi Arabia and the Saudi Civil Transactions Law. Any disputes arising from this Purchase Order shall be resolved through the competent courts in Jeddah, Saudi Arabia.
- The Environmental Engineer shall hold a valid Saudi Council of Engineers (SCE) professional license and a minimum of ten (10) years of demonstrated experience in environmental engineering within the Kingdom of Saudi Arabia.
- All work shall be performed in compliance with Saudi Arabian environmental regulations, including but not limited to the Environmental Protection Law, the Water Law, and the Waste Management Regulations issued by MEWA.
- The Environmental Engineer shall submit all reports, assessments, and deliverables in both Arabic and English to the Buyer's project office in Jeddah, Saudi Arabia.
- Payment shall be made within thirty (30) calendar days of receipt of a valid invoice, via bank transfer to the Supplier's designated account in Saudi Riyal (SAR). Late payments shall accrue interest at the rate of 1.5% per month.
- The Supplier shall maintain professional indemnity insurance with a minimum coverage of SAR 5,000,000, valid throughout the duration of this Purchase Order, with the Buyer named as an additional insured party.
- The Environmental Engineer shall ensure full compliance with Saudi labor laws, including the Saudization (Nitaqat) requirements, and shall not engage any sub-consultants without prior written approval from the Buyer.
- All intellectual property, data, and reports generated under this Purchase Order shall remain the exclusive property of the Buyer. The Environmental Engineer shall not disclose project-specific information to any third party without written consent.
- The Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of material breach, non-performance, or regulatory non-compliance by the Environmental Engineer.
- Force majeure events, including but not limited to extreme weather conditions affecting the Jeddah coastal area, shall be addressed in accordance with Article 170 of the Saudi Civil Transactions Law.
The Environmental Engineer shall commence all activities no later than 1 July 2025 at the project site located in the Al Shati District, Jeddah, Saudi Arabia. All interim deliverables shall be submitted to the Buyer's designated project manager within the timelines specified in Section 2. The final Environmental Management Plan and project closure report shall be delivered no later than 31 December 2025.
6. Acceptance and AuthorizationBy signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Environmental Engineer in Saudi Arabia Jeddah. This document constitutes a binding agreement upon execution by both authorized representatives.
