This Purchase Order is issued by Iberia Environmental Solutions S.L. to EcoConsult Madrid Ingeniería Ambiental S.L. for the engagement of a qualified Environmental Engineer to provide comprehensive environmental impact assessment, regulatory compliance auditing, and sustainability consulting services for a mixed-use commercial development project located in the district of Chamartín, Spain Madrid. The Environmental Engineer shall be responsible for ensuring full compliance with the Spanish Environmental Impact Assessment Law (Ley 10/2021), the Madrid Regional Environmental Ordinance, and all applicable European Union directives governing environmental protection in the Madrid metropolitan area.

Terms and Conditions of this Purchase Order
- Place of Performance: All services under this Purchase Order shall be executed at the project site located in the municipality of Madrid, Community of Madrid, Spain. The Environmental Engineer shall maintain a registered office or operational base within the Spain Madrid metropolitan area for the duration of the contract.
- Qualification Requirements: The Environmental Engineer engaged under this Purchase Order must hold a valid degree in Environmental Engineering (Ingeniería Ambiental) from an accredited Spanish university, be registered with the Colegio Oficial de Ingenieros Técnicos Industriales de Madrid, and possess a minimum of eight (8) years of professional experience in environmental consulting within Spain.
- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of invoice receipt. A 30% advance payment is due upon acceptance of this Purchase Order. The remaining balance shall be paid in monthly progress payments tied to verified milestones as agreed in the project schedule.
- Regulatory Compliance: The Environmental Engineer shall ensure that all deliverables comply with the Spanish Environmental Impact Assessment Law (Ley 10/2021, de 2 de diciembre), the Madrid Regional Law on Environmental Protection, Royal Decree 1/2008 on Environmental Impact Assessment, and all applicable EU directives (2011/92/EU and 2014/52/EU) as transposed into Spanish law.
- Intellectual Property: All reports, assessments, plans, and documentation produced by the Environmental Engineer under this Purchase Order shall become the exclusive property of Iberia Environmental Solutions S.L. upon full payment.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all project data, site information, and commercial terms related to this Purchase Order. This obligation shall survive for a period of five (5) years following project completion.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Environmental Engineer shall be compensated for all services rendered up to the termination date, plus a 10% administrative fee.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain.
- Insurance: The Environmental Engineer shall maintain professional liability insurance with a minimum coverage of 1,000,000 EUR, valid throughout the duration of the engagement in Spain Madrid.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting the Madrid region.
