- This Purchase Order constitutes a binding agreement between the Purchasing Party and the Supplier upon signature by both authorized representatives. All services shall be rendered in Sudan Khartoum unless otherwise agreed in writing.
- The Environmental Engineer assigned to this contract must hold a minimum of a Master's degree in Environmental Engineering or a closely related discipline, along with a valid professional license issued by the Sudanese Engineers Syndicate. The lead Environmental Engineer must possess no fewer than ten (10) years of documented experience in environmental impact assessments within arid and semi-arid regions.
- Payment shall be made in Sudanese Pounds (SDG) within thirty (30) calendar days of receipt of a valid invoice and verified progress report. Invoices must reference this Purchase Order number (PO/ENV/2025/0047) and the applicable line item.
- All work products, including reports, data sets, maps, and environmental management plans, shall be the exclusive property of the Purchasing Party upon full payment. The Environmental Engineer and the Supplier shall not disclose proprietary data to third parties without written consent.
- The Supplier shall maintain comprehensive professional indemnity insurance with a minimum coverage of 10,000,000 SDG for the duration of the contract, valid in Sudan Khartoum and the Republic of Sudan.
- Any modification, extension, or termination of this Purchase Order must be documented in a written amendment signed by both parties. Verbal agreements shall hold no legal standing.
- The Environmental Engineer shall comply with all applicable laws and regulations of the Republic of Sudan, including but not limited to the National Environmental and Natural Resources Protection Act, the Water Act, and municipal bylaws governing the Sudan Khartoum metropolitan area.
- Disputes arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to arbitration under the rules of the Sudanese Arbitration Centre in Sudan Khartoum.
- The Supplier shall provide a detailed weekly progress report to the Purchasing Party every Friday, summarizing field activities, laboratory results, and any environmental anomalies detected in the Sudan Khartoum operational area.
- This Purchase Order is governed by the laws of the Republic of Sudan. The courts of Sudan Khartoum shall have exclusive jurisdiction over any legal proceedings not resolved through arbitration.
