- Validity: This Purchase Order shall remain valid for acceptance within fourteen (14) calendar days from the date of issue. Failure to confirm acceptance within this period shall render this Purchase Order null and void.
- Commencement: The Environmental Engineer shall commence all services no later than 1 July 2025 at the designated project site in Thailand Bangkok. A mobilization meeting shall be held at the buyer's Bangkok office prior to the start date.
- Regulatory Compliance: The Environmental Engineer shall ensure full compliance with all applicable Thai environmental legislation, including the National Environmental Act B.E. 2535 (1992), the Pollution Control Act B.E. 2535 (1992), and all Bangkok Metropolitan Administration by-laws governing construction and industrial operations.
- Qualifications: The Environmental Engineer assigned to this Purchase Order must hold a minimum of a Bachelor's degree in Environmental Engineering from an accredited Thai or internationally recognized university, possess a valid professional license issued by the Council of Engineers Thailand, and demonstrate a minimum of ten (10) years of relevant experience in the Thailand Bangkok market.
- Payment Schedule: Payment shall be made in three (3) equal installments: 30% upon contract execution, 40% upon completion of the EIA submission and wastewater system design, and 30% upon final project acceptance and delivery of all compliance reports. All payments shall be made via bank transfer to the supplier's designated account in Thailand.
- Deliverables: All reports, designs, and documentation produced by the Environmental Engineer shall be submitted in both Thai and English languages. Digital copies in PDF and editable formats shall be delivered to the buyer's project management team in Bangkok within five (5) business days of completion.
- Confidentiality: The Environmental Engineer shall treat all project data, site information, and proprietary documents as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all services rendered up to the date of termination, as certified by the Environmental Engineer's progress reports.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising hereunder shall be resolved through arbitration in Bangkok under the rules of the Thai Arbitration Institute.
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by natural disasters, government actions, pandemics, or other events beyond reasonable control, as defined under Thai commercial law.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Environmental Engineer in Thailand Bangkok. This document constitutes a binding agreement upon execution by both authorized representatives.
