- This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both authorized representatives. All services shall be rendered in United Arab Emirates, Dubai, and shall comply with all applicable UAE federal laws, Dubai municipal regulations, and the UAE Environmental Protection Law (Federal Law No. 47 of 2007).
- The Environmental Engineer engaged under this Purchase Order must hold a valid professional license issued by the Dubai Municipality and be registered with the UAE Council of Engineers. Minimum qualifications include a Bachelor's degree in Environmental Engineering or a related discipline, a minimum of 8 years of post-qualification experience in the UAE, and valid professional indemnity insurance of not less than AED 2,000,000.
- Commencement of services shall be no later than 1 July 2025. The Environmental Engineer shall submit a detailed work plan within 10 business days of the effective date of this Purchase Order.
- Payment shall be made in three equal installments: 30% upon commencement, 40% upon submission of the EIA and CEMP, and 30% upon final acceptance of the Environmental Compliance Report by Dubai Municipality and EAD. Payment shall be made via bank transfer to the IBAN specified in Section 2 within 30 days of receipt of a valid tax invoice.
- All deliverables, including reports, data sets, and monitoring records, shall be submitted in both Arabic and English. Electronic copies in PDF and editable formats shall be provided to the Buyer within 5 business days of each milestone completion.
- The Seller warrants that the Environmental Engineer shall maintain full compliance with the UAE Federal Environment Agency (EAD) guidelines, Dubai Municipality environmental standards, and the UAE National Standard (UAE.S) specifications throughout the duration of this engagement.
- Any changes in scope, additional monitoring requirements, or regulatory amendments issued by Dubai Municipality or EAD during the project period shall be subject to a formal variation order signed by both parties. No additional work shall be performed without written authorization under this Purchase Order.
- The Seller shall maintain all environmental monitoring equipment in calibrated condition and shall provide calibration certificates upon request. All sampling and laboratory analysis shall be conducted by UAE-accredited laboratories (ISO/IEC 17025).
- This Purchase Order is governed by the laws of the United Arab Emirates. Any disputes arising from this agreement shall be resolved through the Dubai International Arbitration Centre (DIAC) in accordance with its rules of arbitration.
- Confidentiality: All data, findings, and proprietary information exchanged under this Purchase Order shall be treated as strictly confidential and shall not be disclosed to third parties without prior written consent of the Buyer, in accordance with UAE Federal Decree-Law No. 46 of 2021 on the Protection of Personal Data.
