This Purchase Order is issued to formally procure the professional services of a qualified Environmental Engineer to be deployed at the Buyer's operational facilities located in United Kingdom Birmingham. The Environmental Engineer shall be responsible for the full spectrum of environmental assessment, compliance monitoring, remediation planning, and sustainability advisory services as detailed below. The engagement is governed by the terms set forth in this Purchase Order and the applicable United Kingdom environmental legislation, including the Environmental Protection Act 1990, the Water Resources Act 1991, and the Environmental Permitting (England and Wales) Regulations 2016.

The Environmental Engineer shall commence all duties no later than 1 July 2025 at the designated work sites within United Kingdom Birmingham. The total engagement period under this Purchase Order shall be six (6) months, concluding on 31 December 2025, unless extended by mutual written agreement of both parties. The Environmental Engineer is expected to be available on-site a minimum of five (5) days per week, Monday through Friday, between the hours of 08:00 and 17:00, with reasonable flexibility for emergency environmental response events.

All invoices submitted by the Supplier in relation to this Purchase Order shall be payable within thirty (30) calendar days of receipt of a valid, itemised invoice. Payment shall be made by direct bank transfer to the Supplier's designated account. The Supplier shall include the Purchase Order number (PO-2025-BHM-04782) on all invoices for reconciliation purposes. Late payments shall attract interest at the rate prescribed under the Late Payment of Commercial Debts (Interest) Act 1998. No payment shall be due until the Buyer has received and accepted the corresponding deliverable or service milestone as defined in Section 3 of this Purchase Order.

  1. Qualifications: The Environmental Engineer assigned to this Purchase Order must hold a minimum of a BEng (Hons) in Environmental Engineering from a recognised United Kingdom institution, be a Chartered Engineer (CEng) registered with the Institution of Civil Engineers (ICE) or the Institution of Environmental Sciences (IES), and possess a valid Professional Indemnity Insurance certificate of no less than £5,000,000 per claim.
  2. Compliance: All work performed by the Environmental Engineer shall comply with all applicable United Kingdom legislation, Birmingham City Council planning regulations, and the specific environmental permits held by the Buyer for the relevant sites in United Kingdom Birmingham.
  3. Confidentiality: The Supplier and the Environmental Engineer shall treat all data, site information, and proprietary documents received in the course of this Purchase Order as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
  4. Health & Safety: The Environmental Engineer shall adhere to all health and safety protocols as set out in the Health and Safety at Work etc. Act 1974 and the Management of Health and Safety at Work Regulations 1999. The Supplier shall provide a Risk Assessment and Method Statement (RAMS) prior to commencement of on-site work in Birmingham.
  5. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate with seven (7) days' notice. Upon termination, the Buyer shall pay for all services rendered up to the date of termination.
  6. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved in accordance with the laws of England and Wales. The parties agree to attempt mediation before initiating any legal proceedings. The courts of Birmingham, United Kingdom shall have exclusive jurisdiction.
  7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or public health emergencies affecting the Birmingham area.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the procurement of Environmental Engineer services in United Kingdom Birmingham. This Purchase Order constitutes a binding agreement upon execution by both authorised signatories.
