This Purchase Order is issued by the Thames Metropolitan Infrastructure Authority (hereinafter referred to as the "Buyer") to GreenScape Environmental Consulting Ltd. (hereinafter referred to as the "Seller") for the engagement of a qualified Environmental Engineer to provide comprehensive environmental assessment, remediation planning, and regulatory compliance services within the metropolitan area of United Kingdom London. The Environmental Engineer shall be a Chartered Engineer (CEng) registered with the Institution of Civil Engineers (ICE) and the Environment Agency, holding a minimum of ten (10) years of post-qualification experience in environmental engineering within the United Kingdom.
The Environmental Engineer engaged under this Purchase Order shall perform the following duties and deliverables, all to be executed within the geographical boundaries of United Kingdom London:

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from the performance of the Environmental Engineer's duties under this agreement shall be subject to the exclusive jurisdiction of the courts of United Kingdom London.
- Commencement Date: The Environmental Engineer shall commence all services no later than 1 July 2025. All site visits, field investigations, and laboratory coordination shall take place at the designated project locations within United Kingdom London as specified in Section 2 above.
- Payment Terms: The Buyer shall make payment within thirty (30) calendar days of receipt of a valid tax invoice from the Seller. Invoices shall reference this Purchase Order number (PO-UKL-2025-04782). Payment shall be made via BACS transfer to the Seller's designated bank account in the United Kingdom.
- Professional Standards: The Environmental Engineer shall perform all services in accordance with the highest professional standards expected of a Chartered Environmental Engineer in the United Kingdom, adhering to the ICE Code of Professional Conduct, the Environment Agency's technical guidance, and all applicable UK environmental legislation including the Water Resources Act 1991, the Wildlife and Countryside Act 1981, and the Environmental Permitting (England and Wales) Regulations 2016.
- Insurance: The Seller shall maintain, at its own cost, professional indemnity insurance with a minimum cover of £5,000,000 per claim and public liability insurance of £10,000,000 for the duration of this Purchase Order. Certificates of insurance shall be provided to the Buyer prior to commencement of work in United Kingdom London.
- Confidentiality: All data, reports, and findings generated by the Environmental Engineer in the course of this engagement shall be treated as confidential property of the Buyer. No information pertaining to the project sites in United Kingdom London shall be disclosed to third parties without prior written consent.
- Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered by the Environmental Engineer up to the date of termination, less any outstanding deliverables.
- Health and Safety: The Environmental Engineer shall comply with all requirements of the Health and Safety at Work etc. Act 1974 and the Construction (Design and Management) Regulations 2015 during all site activities conducted within United Kingdom London.
- Intellectual Property: All reports, models, designs, and technical documentation produced by the Environmental Engineer under this Purchase Order shall become the sole property of the Buyer upon full payment.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to acts of God, government action, or public health emergencies affecting United Kingdom London.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Environmental Engineer for the environmental consultancy services described herein, to be delivered within United Kingdom London.
