5.1 This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon execution by both parties. All services described herein shall be performed by a duly licensed Environmental Engineer holding an active Florida Professional Engineer (P.E.) license in the discipline of Environmental Engineering.
5.2 The Environmental Engineer shall conduct all fieldwork, laboratory coordination, and regulatory filings within the jurisdiction of United States Miami, Miami-Dade County, and the State of Florida. Any work requiring travel outside the immediate Miami metropolitan area shall be billed at an additional rate of $85.00 per hour plus mileage at the IRS standard rate.
5.3 Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at a rate of 1.5% per month. The Buyer reserves the right to withhold payment for any deliverable that does not meet the specifications outlined in this Purchase Order.
5.4 The Environmental Engineer shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence and $5,000,000 aggregate. Certificates of insurance shall be provided to the Buyer prior to commencement of services.
5.5 All deliverables, reports, data sets, and intellectual property produced under this Purchase Order shall become the sole property of the Buyer upon full payment. The Environmental Engineer shall not reuse, republish, or disclose project-specific data without written consent.
5.6 Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall compensate the Environmental Engineer for all services rendered and expenses incurred up to the effective date of termination.
5.7 This Purchase Order shall be governed by and construed in accordance with the laws of the State of Florida. Any disputes arising hereunder shall be resolved through binding arbitration in United States Miami, in accordance with the rules of the American Arbitration Association.
5.8 The Environmental Engineer warrants that all services shall be performed in a professional and workmanlike manner, in full compliance with all federal, state, and local environmental laws applicable to United States Miami, including but not limited to the Clean Water Act, Clean Air Act, RCRA, and Florida Statutes Chapter 403.
