This Purchase Order is issued by the Metropolitan Environmental Services Authority to formally authorize the procurement of professional services rendered by a licensed Environmental Engineer operating within the jurisdiction of United States New York City. - Payment Terms: Net 45 days from receipt of a valid invoice. Payment shall be made via ACH transfer to the account designated by GreenScape Environmental Consulting Group, LLC. Invoices must reference this Purchase Order number (PO-NYC-2025-04871) for processing.
- Performance Period: Services shall commence on July 1, 2025, and the 12-month retainer shall conclude on June 30, 2026, unless terminated earlier per Section 8.
- Licensing and Insurance: The Environmental Engineer must maintain an active New York State Professional Engineer license in the discipline of Environmental Engineering throughout the term. The supplier shall carry General Liability insurance of no less than $2,000,000 per occurrence and Professional Liability (Errors & Omissions) coverage of no less than $5,000,000. Certificates of insurance naming MESA as additional insured must be provided prior to commencement of work.
- Compliance with Law: All services shall comply with federal, New York State, and New York City environmental regulations, including but not limited to 6 NYCRR Part 375, 40 CFR Parts 122 and 130, and the NYC Administrative Code Title 17. The Environmental Engineer shall bear full responsibility for the accuracy and completeness of all technical deliverables.
- Deliverables and Reporting: All reports, plans, and assessments shall be submitted in both PDF and editable digital formats. Hard copies (three (3) sets) shall be delivered to the MESA office at One World Trade Center, United States New York City, within ten (10) business days of completion of each milestone.
- Confidentiality: All data, site information, and proprietary methodologies exchanged under this Purchase Order shall be treated as confidential. The Environmental Engineer shall not disclose project details to third parties without written authorization from MESA.
- Indemnification: GreenScape Environmental Consulting Group, LLC shall indemnify and hold harmless MESA, its officers, employees, and agents from any claims, damages, or liabilities arising from the Environmental Engineer's negligence, willful misconduct, or failure to perform in accordance with applicable professional standards.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. MESA may terminate for cause with ten (10) days notice if the Environmental Engineer fails to meet deliverable deadlines or violates any regulatory requirement. Upon termination, the supplier shall be compensated for work completed through the termination date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New York and the municipal ordinances of the City of New York. Any disputes shall be resolved in the state or federal courts located in New York County, United States New York City.
- Anti-Discrimination and Equal Opportunity: The supplier affirms compliance with all New York City Human Rights Law provisions and shall ensure non-discriminatory practices in all aspects of service delivery within United States New York City.
