3.1 This Purchase Order constitutes a binding agreement between the San Francisco Department of Public Works and the named vendor for the procurement of Environmental Engineer professional services. All work shall be performed within the jurisdiction of the City and County of San Francisco, California, United States, and shall comply with all applicable federal, state, and municipal environmental regulations.
3.2 The Environmental Engineer assigned to this Purchase Order must hold a valid California Professional Engineer (PE) license with the specialty designation of Environmental Engineering, and must maintain a minimum of $2,000,000 in professional liability insurance naming the City of San Francisco as an additional insured party.
3.3 All deliverables under this Purchase Order shall be submitted in both electronic (PDF and editable CAD/GIS formats) and hard copy (three (3) bound sets) to the San Francisco Department of Public Works, 1 Dr. Carlton B. Goodlett Place, San Francisco, CA 94102, United States.
3.4 The vendor shall comply with all San Francisco local ordinances, including but not limited to the City's Green Building Ordinance, the San Francisco Bay Water Quality Control Plan, and all applicable provisions of the California Environmental Quality Act (CEQA) and the National Environmental Policy Act (NEPA).
3.5 Payment shall be made within thirty (30) calendar days of receipt of a properly submitted invoice referencing this Purchase Order number. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under California Government Code Section 11137.
3.6 The vendor warrants that all Environmental Engineer services rendered under this Purchase Order shall be performed in a professional and workmanlike manner consistent with the standards of practice prevailing in the United States, specifically within the San Francisco metropolitan area.
3.7 This Purchase Order may be amended only by written mutual agreement of both parties. Any change in scope, timeline, or compensation must be documented in a formal Change Order signed by authorized representatives of both entities.
3.8 In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith mediation in San Francisco, California, United States, before pursuing any formal legal proceedings in the Superior Court of San Francisco County.
