Scope Note: This Purchase Order is issued to procure the professional services of a qualified Environmental Engineer for the duration of the Harare Municipal Water Quality Assessment and Industrial Compliance Programme. Terms and Conditions of this Purchase Order
- Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the Supplier. The Supplier must return a signed copy of this Purchase Order to GreenSolutions Environmental Consulting (Pvt) Ltd within five (5) business days of receipt.
- Qualification of the Environmental Engineer: The Environmental Engineer assigned to this contract must hold a minimum of a Bachelor's degree in Environmental Engineering from a recognised institution, be registered with the Engineering Institution of Zimbabwe (EIZ), and possess a valid professional practising certificate. The Supplier shall provide copies of all relevant qualifications and registrations prior to commencement of work in Zimbabwe Harare.
- Commencement and Duration: Services shall commence on 1 July 2025 and continue for a period of six (6) months, concluding on 31 December 2025, unless extended by mutual written agreement. The Environmental Engineer must be physically present in Zimbabwe Harare for a minimum of four (4) working days per week.
- Payment Terms: Payment shall be made in monthly instalments of USD 9,775.00 (inclusive of VAT) within fourteen (14) calendar days of receipt of a valid tax invoice from the Supplier. Payment shall be made via electronic funds transfer to the Supplier's designated bank account in Zimbabwe.
- Deliverables and Reporting: The Environmental Engineer shall submit a detailed progress report to the Buyer's Project Director by the 5th business day of each month. All field data, laboratory results, and compliance documentation must be maintained in both digital and hard-copy formats at the Harare office.
- Regulatory Compliance: All work performed by the Environmental Engineer must comply with the Environmental Management Act [Chapter 20:27] of Zimbabwe, the Water Act [Chapter 20:14], the Air Pollution Control regulations, and any applicable Harare City Council by-laws. The Environmental Engineer is responsible for ensuring that all sampling, testing, and reporting methodologies meet EMA standards.
- Confidentiality: The Environmental Engineer and the Supplier agree to maintain strict confidentiality regarding all data, findings, and proprietary information obtained during the course of this engagement in Zimbabwe Harare. No information shall be disclosed to third parties without prior written consent from the Buyer.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Supplier shall be compensated for all services rendered and approved deliverables up to the date of termination. The Environmental Engineer shall hand over all project files, data, and equipment to the Buyer within seven (7) days of termination.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to arbitration in accordance with the Arbitration Act of Zimbabwe, with the seat of arbitration in Harare, Zimbabwe.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Zimbabwe. All proceedings shall take place in the courts of Zimbabwe Harare.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or civil unrest affecting operations in Zimbabwe Harare.
