All payments shall be made via bank transfer to the Film Director's designated account at Kabul Bank, Branch: Wazir Akbar Khan, Afghanistan Kabul. No cash payments shall be accepted under this Purchase Order.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the Islamic Republic of Afghanistan. Any disputes arising from this agreement shall be resolved through arbitration in Afghanistan Kabul under the rules of the Kabul Chamber of Commerce.
- Intellectual Property: All footage, scripts, edits, and final deliverables produced under this engagement shall be the exclusive property of AMPS. The Film Director retains the right to display the work in personal portfolios and festival submissions, subject to AMPS's prior written approval.
- Local Compliance: The Film Director shall ensure that all filming activities in Afghanistan Kabul comply with local regulations, including obtaining necessary permits from the Ministry of Information and Culture, Kabul City Municipality, and any relevant district authorities.
- Insurance: The Film Director shall maintain professional liability insurance with a minimum coverage of AFN 5,000,000 throughout the duration of this Purchase Order.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, AMPS shall compensate the Film Director for all work completed up to the termination date, plus a 10% cancellation fee.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to security disruptions, natural disasters, or government-imposed restrictions in Afghanistan Kabul.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order and all production materials until the official public release of the documentary.
- Subcontracting: The Film Director may engage specialized sub-contractors (e.g., cinematographer, sound engineer) for specific technical tasks, provided that AMPS is notified in writing at least seven (7) days in advance and all sub-contractors operate within Afghanistan Kabul jurisdiction.
