- Scope of Engagement: The Supplier, represented by the designated Film Director, agrees to deliver all services described in the line items above in accordance with the creative brief attached as Annex A to this Purchase Order. The Film Director shall maintain professional conduct and adhere to all production schedules agreed upon in the master production calendar.
- Payment Schedule: Payment shall be made in three (3) installments: 30% upon signing of this Purchase Order, 40% upon completion of principal photography, and 30% upon delivery of the final locked master. All payments shall be made via bank transfer to the Supplier's account at BNA (Banque Nationale d'Algérie), Algiers branch.
- Intellectual Property: Upon full payment, all rights to the finished film, including the Film Director's creative contributions, shall vest in the Purchaser. The Film Director retains the right to display the work in personal portfolios and at film festivals in Algeria and internationally, subject to prior written notice to the Purchaser.
- Regulatory Compliance: The Supplier and the Film Director shall ensure that all filming activities in Algiers, Algeria comply with permits issued by the local municipal authorities, the ANAV, and any applicable Algerian broadcasting and cultural regulations. Failure to obtain required permits shall be the sole responsibility of the Supplier.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to government-mandated shutdowns, natural disasters affecting the Algiers region, or changes in Algerian film industry regulations.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Purchaser shall compensate the Film Director for all services rendered up to the termination date, plus a 10% completion bonus for partially finished milestones.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the film's content, script, and production details. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Governing Law & Jurisdiction: This Purchase Order is governed by Algerian law. Any arbitration or litigation shall take place before the Commercial Court of Algiers, Algeria. The parties waive any right to seek jurisdiction in foreign courts.
