1. This Purchase Order is governed by the laws of the Argentine Republic, specifically the Código Civil y Comercial de la Nación (Law 26,994) and the Ley de Contrato de Trabajo (Law 20,744) where applicable to the engagement of the Film Director.
2. The Film Director shall maintain full creative authority over all artistic decisions during the production period in Buenos Aires, Argentina, subject to the approved budget and the producer's final commercial approval.
3. All intellectual property rights in the finished film, including but not limited to the directorial vision, shot compositions, and editorial decisions, shall vest in Patagonia Visual Productions S.A. upon full payment. 4. The Film Director shall comply with all safety regulations established by the Dirección Nacional de Trabajo and local Buenos Aires municipal ordinances for film production on public and private locations.
5. Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination by the issuing company without cause, the Film Director shall be compensated for all services rendered up to the termination date plus 15% of the remaining contract value.
6. All disputes arising from this Purchase Order shall be resolved by binding arbitration in Buenos Aires, Argentina, in accordance with the rules of the Cámara de Comercio de Buenos Aires.
7. This Purchase Order constitutes the entire agreement between the parties regarding the engagement of the Film Director for the production described herein and supersedes all prior negotiations, representations, or agreements.
