The Film Director is expected to be physically present on set for a minimum of twenty-two (22) principal photography days and shall conduct a minimum of ten (10) pre-production rehearsal sessions in Australia Sydney prior to the commencement of principal photography.

• A deposit of twenty-five percent (25%) of the total Purchase Order value, amounting to AUD $76,422.50, shall be paid within seven (7) business days of acceptance of this Purchase Order.
• Progress payments of fifteen percent (15%) shall be made at the completion of pre-production and at the midpoint of principal photography, respectively.
• The remaining balance of forty-five percent (45%) shall be due and payable within fourteen (14) business days of the Film Director's final delivery of the completed cut and written sign-off on the final version of the film.
• All payments shall be made via electronic funds transfer (EFT) to the bank account nominated by the Film Director in writing. All amounts are quoted in Australian Dollars (AUD) and are inclusive of applicable Goods and Services Tax (GST) as per Australian tax legislation.

• This Purchase Order is governed by the laws of the State of New South Wales, Australia, and the Commonwealth of Australia. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Australia Sydney.
• The Film Director warrants that all creative work delivered under this Purchase Order shall be original and shall not infringe upon any intellectual property rights of third parties. The Film Director shall indemnify Southern Cross Pictures Pty Ltd against any claims arising from breaches of this warranty.
• The Film Director shall comply with all applicable Australian workplace health and safety legislation, including the Work Health and Safety Act 2011 (NSW), and all production safety protocols established by the production company for all filming locations in Australia Sydney.
• Confidentiality: The Film Director agrees to maintain strict confidentiality regarding all production materials, scripts, storyboards, and creative discussions conducted in connection with this Purchase Order. This obligation shall survive the termination of this engagement for a period of five (5) years.
• Termination: Either party may terminate this Purchase Order by providing fourteen (14) days written notice. In the event of termination, the Film Director shall be compensated for all services rendered up to the date of termination, plus a reasonable wind-down fee not to exceed AUD $15,000.
• Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or pandemics affecting operations in Australia Sydney.
• The Film Director shall carry professional indemnity insurance with a minimum cover of AUD $10,000,000 for the duration of the engagement, with certificates of insurance to be provided to the Buyer prior to commencement of work.
