This Purchase Order is issued by Meridian Films & Productions Ltd. to Creative Vision Media Services for the engagement of a Film Director and associated creative services for the production of the feature film "Shohor." The Film Director shall be responsible for the complete creative vision, on-set direction, actor coaching, storyboard finalization, and post-production oversight. All services shall be rendered primarily at Meridian Studios and various outdoor locations within Bangladesh Dhaka and its surrounding districts, including Savar, Gazipur, and Narayanganj. The Film Director is expected to be available on a full-time basis for the duration of the principal photography and post-production schedule outlined below.

- Advance Payment (30%): BDT 1,532,475 payable within 7 working days of acceptance of this Purchase Order via bank transfer to the vendor's account at BRAC Bank, Bangladesh Dhaka.
- Progress Payment (40%): BDT 2,043,300 payable upon completion of principal photography (Day 45), subject to written confirmation from the Head of Production.
- Final Payment (30%): BDT 1,532,475 payable within 14 working days of delivery of the final locked cut and all post-production deliverables.
- All payments shall be made in Bangladeshi Taka (BDT) to the bank account specified in Section 2. No payment shall be released without a valid tax invoice and a signed delivery/completion certificate.
- Pre-production commencement: 1 July 2025
- Principal photography start: 15 July 2025
- Principal photography completion: 28 August 2025
- Post-production completion: 30 October 2025
- All on-set work shall take place at Meridian Studios, Tejgaon, Bangladesh Dhaka, unless otherwise directed in writing.
- This Purchase Order is governed by the laws of the People's Republic of Bangladesh. Any disputes shall be resolved through arbitration in Bangladesh Dhaka in accordance with the Arbitration Act, 2001.
- The Film Director shall maintain full creative control over the artistic direction of the film but shall comply with all safety regulations, labor laws, and municipal bylaws applicable in Bangladesh Dhaka.
- The vendor shall ensure that the Film Director and all crew members hold valid work permits and are registered with the relevant trade unions in Bangladesh Dhaka.
- Intellectual property rights in all scripts, storyboards, footage, and final film shall vest exclusively in Meridian Films & Productions Ltd. upon full payment.
- Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the vendor shall be compensated for work completed up to the termination date.
- Force majeure events, including but not limited to natural disasters, government-imposed curfews in Bangladesh Dhaka, or pandemics, shall extend the performance timeline proportionally.
- The vendor shall submit a detailed weekly progress report to the Buyer's Production Office every Friday during the active production period.
- All equipment listed in Item 05 shall be returned to the vendor in working condition within 5 working days of the final delivery date, or the cost shall be deducted from the final payment.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Film Director and associated services for the production of "Shohor" in Bangladesh Dhaka.
