This Purchase Order is issued by Cinéma Lumière Productions S.A., a production company duly registered in Belgium Brussels, for the professional engagement of a Film Director to oversee the creative and technical direction of the feature-length documentary film titled "Voices of the Canal: A Brussels Story". The Film Director shall be responsible for the complete artistic vision, on-set direction, casting coordination, script interpretation, and final editorial oversight of the production.

The Film Director engaged under this Purchase Order shall deliver the following to the Buyer, all to be performed in or around Belgium Brussels unless otherwise agreed in writing:

(a) A complete director's treatment and visual storyboard approved by the Buyer no later than 10 business days prior to the start of principal photography;
(b) Daily production reports and creative decision logs submitted to the Buyer's production office located in Belgium Brussels;
(c) Final cut of the documentary film, not exceeding 95 minutes in runtime, delivered in 4K DCI-PAL format with a 5.1 surround sound mix;
(d) A minimum of three (3) screening sessions for the Buyer's executive team at the Cinéma Lumière Productions S.A. offices in Belgium Brussels prior to final delivery;
(e) Full cooperation with the Buyer's marketing and distribution departments for all promotional materials, trailers, and press kits.

Payment for the services rendered under this Purchase Order shall be made in accordance with the following schedule, all amounts denominated in Euros (EUR) and payable via bank transfer to the Film Director's registered account in Belgium Brussels:

(a) 25% advance payment (€ 24,457.13 incl. VAT) upon execution of this Purchase Order;
(b) 40% interim payment (€ 39,131.40 incl. VAT) upon completion of principal photography;
(c) 35% final payment (€ 34,240.00 incl. VAT) upon delivery and acceptance of the final cut by the Buyer.

All invoices must reference this Purchase Order number (PO-BE-BRU-2025-04782) and must be issued in accordance with the Belgian Electronic Invoicing regulations (Peppol network). Late payments shall accrue interest at the rate prescribed by the Belgian Law of 2 August 2002 on Late Payment in Commercial Transactions.

(a) This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Kingdom of Belgium. Any disputes arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the Commercial Court of Belgium Brussels.
(b) The Film Director warrants that all creative work delivered under this Purchase Order shall be original, free from third-party intellectual property claims, and shall not infringe upon any copyright, moral rights, or other proprietary rights of any person or entity.
(c) The Film Director shall comply with all applicable Belgian and European Union regulations regarding working hours, health and safety on film sets, and data protection (GDPR) in the handling of any personal data collected during production in Belgium Brussels.
(d) Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Film Director shall be compensated for all services rendered up to the date of termination, less any advance payments already received.
(e) The Film Director shall maintain professional liability insurance with a minimum coverage of € 1,000,000 per occurrence, valid throughout the duration of the engagement in Belgium Brussels.
(f) All communications, notices, and legal documents related to this Purchase Order shall be in the English language, with a French translation available upon request in accordance with Belgian bilingualism requirements for the Brussels-Capital Region.

By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the engagement of the Film Director for the production described herein. This Purchase Order is valid for a period of thirty (30) days from the date of issue, after which it shall lapse unless renewed in writing by both parties.
