This Purchase Order constitutes a binding agreement between CineBrasília Productions Ltda. (hereinafter "the Client") and the undersigned Film Director (hereinafter "the Vendor") for the provision of creative and technical direction services in connection with the production of the feature documentary "Horizontes do Cerrado," to be filmed primarily in Brazil Brasília.
The Film Director shall devote full professional attention to the project during all scheduled production days in Brazil Brasília and shall not undertake concurrent directing engagements that would materially conflict with the obligations set forth in this Purchase Order.
Payment shall be made in three (3) equal installments via bank transfer (TED/PIX) to the Vendor's registered account: 30% upon execution of this Purchase Order, 40% upon completion of principal photography in Brazil Brasília, and 30% upon delivery of the final cut and completion of all post-production services.
All intellectual property rights, including but not limited to the final edited film, raw footage, storyboards, and creative materials produced by the Film Director in the course of this engagement in Brazil Brasília, shall be the exclusive property of CineBrasília Productions Ltda. upon full payment of the amounts due under this Purchase Order.
The Film Director warrants that all services rendered shall comply with applicable Brazilian labor laws, the Federal District (Distrito Federal) municipal regulations governing film production in Brazil Brasília, and all relevant permits issued by the local authorities, including the Secretaria de Cultura do Distrito Federal.
Any changes to the scope of work, shooting schedule, or creative direction must be documented in a written amendment to this Purchase Order, signed by both parties, before additional services are performed.
In the event of force majeure, including but not limited to severe weather conditions affecting the Cerrado region of Brazil Brasília, government-mandated shutdowns, or public health emergencies, either party may suspend performance without penalty, provided written notice is given within forty-eight (48) hours.
This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, with exclusive jurisdiction of the courts of Brasília – DF for any disputes arising hereunder.
The Film Director shall maintain professional liability insurance with a minimum coverage of R$ 2,000,000.00 for the entire duration of the engagement in Brazil Brasília and shall provide a certificate of insurance upon request.
This Purchase Order is valid for acceptance within ten (10) business days from the date of issue. Failure to accept within this period shall render this document null and void.

By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications outlined in this Purchase Order for the engagement of the Film Director in the production of "Horizontes do Cerrado" in Brazil Brasília.
