This Purchase Order is issued by Montreal Cinematic Productions Inc. to formally engage the services of a Film Director for the principal photography, pre-production planning, and post-production oversight of the feature film Les Rives du Fleuve. - Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of Quebec and the federal laws of Canada applicable to the motion picture and entertainment industry. Any disputes arising from this Purchase Order shall be resolved through arbitration in Canada Montreal, Quebec, in accordance with the rules of the ADR Institute of Canada.
- Payment Terms: Payment shall be made in three (3) installments: 30% upon execution of this Purchase Order, 40% upon completion of principal photography in Canada Montreal, and 30% upon delivery of the final cut approved by the Film Director. All payments shall be made via electronic transfer to the vendor's designated account in Canadian dollars (CAD).
- Intellectual Property: All creative materials, storyboards, shot lists, and directorial notes produced by the Film Director in connection with this Purchase Order shall become the property of Montreal Cinematic Productions Inc. upon full payment. The Film Director retains moral rights as protected under Canadian copyright law.
- Insurance and Liability: The Film Director shall maintain professional liability insurance with a minimum coverage of CAD $2,000,000 for the duration of the engagement in Canada Montreal. The Film Director shall be responsible for any damage caused by negligent direction or failure to follow established safety protocols on set.
- Compliance: The Film Director shall comply with all regulations set forth by the Régie du cinéma du Québec, the Canada Media Fund guidelines, and any applicable municipal bylaws of the City of Montreal pertaining to film production permits, noise ordinances, and public space usage in Canada Montreal.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. - Confidentiality: The Film Director agrees to maintain strict confidentiality regarding all production details, scripts, casting decisions, and financial information related to this Purchase Order. This obligation shall survive the termination of this agreement for a period of five (5) years.
