1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. 2. 3. Payment Schedule: Payment shall be made in three (3) installments: 30% upon execution of this Purchase Order, 50% upon completion of principal photography, and 20% upon delivery of the final cut. All payments shall be made in Canadian Dollars (CAD) via electronic funds transfer to the account designated by the Film Director.
4. Tax Compliance: The Film Director shall provide a valid GST/HST registration number. Northlake Productions Inc. shall remit applicable Ontario HST at the rate of 13% as required by the Canada Revenue Agency. The Film Director is responsible for all personal income tax obligations under Canadian federal and Ontario provincial tax law.
5. Intellectual Property: All creative work product, including but not limited to shot compositions, directorial notes, and editorial decisions made by the Film Director in the course of this engagement, shall be the sole property of Northlake Productions Inc. upon full payment of this Purchase Order.
6. Insurance: The Film Director shall maintain professional liability insurance with a minimum coverage of CAD $2,000,000, valid throughout the duration of the engagement in Canada Toronto. A certificate of insurance shall be provided prior to the commencement of principal photography.
7. Working Hours & Overtime: Standard working hours for the Film Director shall be 12 hours per shooting day, with a minimum 10-hour rest period between consecutive days. Overtime beyond 12 hours shall be compensated at 1.5 times the daily rate, in compliance with Ontario employment standards and DGC collective agreements.
8. Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination by Northlake Productions Inc. without cause, the Film Director shall be compensated for all services rendered to date plus a termination fee equal to 15% of the remaining contract value.
9. Confidentiality: The Film Director agrees to maintain strict confidentiality regarding all production materials, scripts, storyboards, and creative discussions. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
10. Permits & Compliance: The Film Director shall cooperate with Northlake Productions Inc. in obtaining all necessary filming permits from the City of Toronto, the Toronto Film Office, and any other relevant municipal or provincial authorities in Canada Toronto. The Film Director shall comply with all applicable Canadian and Ontario regulations regarding workplace safety (OHSA), accessibility, and cultural sensitivity on set.

This Purchase Order is authorized by the undersigned on behalf of Northlake Productions Inc. and constitutes a binding offer for the services of the Film Director as described herein.
