This Purchase Order constitutes a binding agreement between North Pacific Studios Inc. and Ashworth Visual Storytelling Ltd. for the engagement of the named Film Director for the production of "Tidal Horizon" in Canada Vancouver, British Columbia.
The Film Director shall maintain full creative authority over all artistic and narrative decisions during the production period, subject to the approved budget parameters outlined in this Purchase Order and the separate Production Agreement dated June 1, 2025.
All services shall be performed in Canada Vancouver, British Columbia, and shall comply with all applicable federal and provincial regulations, including but not limited to the Canada Labour Code, British Columbia Employment Standards Act, and the Vancouver Film Office permitting requirements.
The Film Director shall be responsible for obtaining and maintaining all necessary permits, location clearances, and insurance coverage required for filming activities within the City of Vancouver and the Province of British Columbia.
Payment shall be issued in three installments: 30% upon execution of this Purchase Order, 40% upon completion of principal photography, and 30% upon final delivery of the completed film. All payments shall be made in Canadian Dollars via electronic funds transfer to the account designated by the Film Director.
The Film Director warrants that all creative work delivered under this Purchase Order shall be original, free from intellectual property infringement, and shall not violate any existing contractual obligations with third parties.
Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of early termination, the Film Director shall be compensated for all services rendered up to the date of termination, plus a reasonable wind-down fee not to exceed 10% of the remaining contract value.
All disputes arising from this Purchase Order shall be resolved through mediation in Canada Vancouver, British Columbia, in accordance with the rules of the British Columbia Dispute Resolution Centre. If mediation is unsuccessful, the matter shall be referred to arbitration under the Arbitration Act (British Columbia).
The Film Director shall comply with all health and safety protocols established by North Pacific Studios Inc. and the Vancouver Film Office, including mandatory safety briefings, PPE requirements, and incident reporting procedures.
This Purchase Order is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein.
