- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Republic of Chile and the applicable provisions of the Chilean Intellectual Property Law (Ley 17.336). All disputes arising from this engagement shall be resolved in the competent courts of Santiago, Chile.
- Payment Schedule: Payment shall be made in three installments: 30% upon execution of this Purchase Order, 40% upon completion of principal photography, and 30% upon delivery of the final cut. All payments shall be transferred via electronic bank transfer to the Film Director's designated account in Chilean Pesos (CLP) through a financial institution operating in Santiago.
- Intellectual Property: All creative works, including but not limited to the final film, rough cuts, storyboards, and directorial notes produced under this Purchase Order, shall be the exclusive property of Andes Cinematográfica S.A. The Film Director retains moral rights as established under Chilean law and shall be credited as "Directed by Valentina Rojas Contreras" in all promotional and distribution materials.
- Working Location: All services under this Purchase Order shall be performed primarily in Chile Santiago. The Film Director shall have access to the production office located at Av. Apoquindo 4501, Las Condes, Santiago, and shall coordinate all on-set activities within the Santiago Metropolitan Region unless otherwise agreed in writing.
- Compliance and Permits: The Film Director shall ensure that all filming permits required by the Municipalidad de Santiago, the Chilean Film Commission (Chilefilms), and any relevant local authorities in Chile Santiago are obtained prior to the commencement of principal photography. The production company shall bear the cost of all permits and location fees.
- Confidentiality: The Film Director agrees to maintain strict confidentiality regarding the script, production schedule, cast information, and any proprietary materials disclosed during the term of this Purchase Order. This obligation shall survive the termination of this agreement for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Film Director shall be compensated for all services rendered up to the date of termination, and all work-in-progress materials shall be delivered to Andes Cinematográfica S.A.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns, or public health emergencies affecting operations in Chile Santiago.
- Tax Obligations: The Film Director shall be responsible for all applicable income tax obligations in Chile. Andes Cinematográfica S.A. shall withhold the applicable IVA (19%) and any other statutory deductions as required by the Servicio de Impuestos Internos (SII) of Chile.
