This Purchase Order is issued by Andes Cinematográfica S.A.S. to formally engage the services of a qualified Film Director for the principal photography and post-production oversight of the feature film "Caminos del Río." All services described herein shall be rendered exclusively within the metropolitan area of Colombia Bogotá and its immediate surrounding departments, as specified in the attached production schedule. The Film Director shall be responsible for the complete creative and technical direction of the project, including but not limited to pre-production planning, on-set direction, actor coaching, shot composition, continuity supervision, and final cut approval. The engagement of this Film Director is critical to the successful execution of the production, which is scheduled to take place across multiple locations in Colombia Bogotá, including the historic La Candelaria district, the modern financial center of Zona G, and the scenic surroundings of the Bogotá savanna.

Payment for this Purchase Order shall be made in the following installments via bank transfer to the account designated by Visión Norte Producciones Ltda. All payments are denominated in Colombian Pesos (COP) and are subject to the withholding tax regulations established by the Dirección de Impuestos y Aduanas Nacionales (DIAN) of Colombia.

- This Purchase Order constitutes a binding agreement between Andes Cinematográfica S.A.S. and Visión Norte Producciones Ltda. upon signature by both parties. All services shall be performed in accordance with Colombian labor law (Código Sustantivo del Trabajo) and applicable regulations of the Ministerio de Trabajo de Colombia.
- The Film Director engaged under this Purchase Order shall maintain full creative authority over the artistic vision of the project, subject to the final approval rights reserved by the production company as stipulated in the separate Creative Direction Agreement (Ref: CDA-COL-2025-009).
- All production activities, including but not limited to filming, rehearsals, and post-production sessions, shall take place within the jurisdiction of Colombia Bogotá unless otherwise authorized in writing by the Head of Production. Any travel outside the Bogotá D.C. metropolitan area shall require a separate written amendment to this Purchase Order.
- The Film Director shall comply with all safety protocols established by the production and with the regulations of the local film commission (Comisión de Cine de Bogotá). All permits for filming in public spaces within Colombia Bogotá shall be obtained and maintained by the production company at its own cost.
- Intellectual property rights in all materials created, directed, or supervised by the Film Director under this engagement shall vest in Andes Cinematográfica S.A.S. upon full payment of the amounts specified in this Purchase Order. The Film Director shall retain moral rights as provided under Colombian intellectual property law (Ley 23 de 1982).
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Film Director shall be compensated for all services rendered up to the date of termination, plus a termination fee equal to fifteen percent (15%) of the remaining contract value.
- Disputes arising from this Purchase Order shall be resolved through mediation in Bogotá D.C., Colombia, in accordance with the rules of the Cámara de Comercio de Bogotá. If mediation fails, the matter shall be submitted to the competent civil courts of Colombia Bogotá.
- This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Republic of Colombia. Any amendments must be made in writing and signed by both parties.
