TERMS AND CONDITIONS- This Purchase Order constitutes a binding agreement between Andina Cinematográfica Productions S.A.S. (hereinafter "the Buyer") and Director Creativo Films Ltda. (hereinafter "the Vendor") for the engagement of a Film Director for the feature film production "Raíces del Valle," to be primarily filmed in Colombia Medellín and the surrounding Antioquia region.
- The Film Director identified under this Purchase Order shall be Carlos Andrés Restrepo Valencia or, in the event of documented unavailability, a substitute director of equivalent caliber and experience approved in writing by the Buyer's Head of Production.
- Payment shall be made in Colombian Pesos (COP) via electronic bank transfer to the account specified above. Payment schedule: 30% upon execution of this Purchase Order, 40% upon completion of principal photography, and 30% upon delivery of the final cut and completion of all post-production direction duties.
- All services rendered under this Purchase Order shall comply with Colombian labor law (Código Sustantivo del Trabajo), applicable regulations of the Ministerio de Trabajo, and the specific provisions of the Ley 1339 de 2009 governing the audiovisual industry in Colombia.
- The Film Director shall maintain professional liability insurance with a minimum coverage of COP 500,000,000 for the duration of the engagement, valid throughout the production period in Colombia Medellín.
- Intellectual property: All creative materials, storyboards, shot lists, and direction notes produced by the Film Director under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Film Director retains moral rights as established under Colombian intellectual property law (Ley 23 de 1982).
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the script, production details, cast information, and creative direction of the project. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Force Majeure: Neither party shall be liable for delays or non-performance caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns, or public health emergencies affecting the city of Medellín or the Antioquia department.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through mediation in Medellín, Antioquia, Colombia, in accordance with the Colombian Code of Civil Procedure. If mediation fails, the parties submit to the jurisdiction of the civil courts of Medellín.
- This Purchase Order is governed by the laws of the Republic of Colombia. Any amendments must be made in writing and signed by both parties.
- The Vendor acknowledges that all on-set activities in Colombia Medellín shall comply with local municipal regulations, including noise ordinances, public space permits, and traffic management protocols issued by the Alcaldía de Medellín.
