2. Scope of Services – Film Director EngagementThis Purchase Order is issued by Kinshasa Film Productions SARL to formally engage the services of a qualified Film Director for the full production cycle of the documentary feature film "Voices of the Congo River". The Film Director shall be responsible for all creative, artistic, and on-set leadership duties as outlined in the line items below. All services shall be rendered primarily in DR Congo Kinshasa, with potential secondary locations in the surrounding provinces of Kongo Central and Kwilu as directed by the production schedule.

4.1 Payment shall be made in United States Dollars (USD) via bank transfer to the Film Director's designated account at BCC Bank, Kinshasa, DR Congo Kinshasa, in accordance with the following schedule:
4.2 30% advance payment ($10,485.00) due within five (5) business days of mutual signature of this Purchase Order and the accompanying Service Agreement.
4.3 40% progress payment ($13,980.00) due upon completion of principal photography and delivery of all raw footage to the production office in Kinshasa.
4.4 30% final payment ($10,485.00) due upon final delivery of the completed film, all associated materials, and the Film Director's written sign-off on the final cut.
4.5 All payments are subject to the applicable withholding tax rates under the tax code of the Democratic Republic of the Congo. The Film Director shall provide valid tax identification documentation prior to the first disbursement.
5. Terms and Conditions5.1 This Purchase Order is governed by and shall be interpreted in accordance with the commercial laws of the Democratic Republic of the Congo, particularly the Code de Commerce and applicable regulations of the National Cinema Commission (Commission Nationale du Cinéma – CNC) of DR Congo Kinshasa.
5.2 The Film Director warrants that all creative work delivered under this Purchase Order shall be original, free from intellectual property infringement, and compliant with all Congolese broadcasting and media regulations.
5.3 The Film Director shall obtain all necessary permits, location clearances, and community consents required for filming in DR Congo Kinshasa and any secondary locations. All permit fees are included in the rates specified in Section 3.
5.4 Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Film Director shall be compensated for all services rendered up to the date of termination, plus a 10% cancellation fee on the remaining balance.
5.5 The Film Director shall maintain professional liability insurance with a minimum coverage of USD 100,000 throughout the duration of the engagement in DR Congo Kinshasa.
5.6 All disputes arising from this Purchase Order shall be resolved through mediation in Kinshasa, DR Congo Kinshasa, before escalation to the competent commercial courts of the City of Kinshasa.
5.7 This Purchase Order does not constitute an employment relationship. The Film Director is engaged as an independent contractor and is solely responsible for their own social security contributions and professional taxes in DR Congo Kinshasa.
6. Acceptance and AuthorizationBy signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the engagement of the Film Director for the production described herein. This document, together with the attached Service Agreement (Ref: KFP-SA-2025-012), forms the complete contractual framework for this engagement in DR Congo Kinshasa.
