- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, specifically the Egyptian Civil Code and the Egyptian Copyright Law (Law No. 82 of 2002, as amended). Any disputes arising from this engagement shall be resolved through the Alexandria Commercial Court.
- Intellectual Property: All creative work, including but not limited to the directorial vision, shot compositions, editorial decisions, and final cut of the film, shall be the exclusive property of Alexandria Cinematic Productions S.A.E. upon full payment. The Film Director retains the right to be credited as "Directed by Layla Mansour" in all promotional materials, festival submissions, and distribution copies.
- Payment Schedule: Payment shall be made in three installments: 30% (EGP 273,000) upon execution of this Purchase Order; 40% (EGP 364,000) upon completion of principal photography; and 30% (EGP 273,000) upon delivery of the final locked cut. All payments shall be made via bank transfer to the account designated by the Film Director.
- Working Conditions in Egypt Alexandria: The Film Director acknowledges that all filming activities in Egypt Alexandria are subject to local municipal permits, Egyptian Ministry of Tourism and Antiquities regulations for heritage sites, and the Egyptian Film Censorship Board (Hayaat El-Tahrir) approval process. The Buyer shall be responsible for obtaining all necessary permits and clearances.
- Working Hours and Rest: The Film Director shall work a maximum of 12 hours per day, with a minimum 10-hour rest period between shooting days, in compliance with Egyptian labor standards applicable to the creative and entertainment sector.
- Insurance: The Buyer shall maintain comprehensive professional liability insurance and on-set accident insurance covering the Film Director and all crew members for the entire duration of the production in Egypt Alexandria.
- Termination: Either party may terminate this Purchase Order with 14 days' written notice. In the event of termination by the Buyer without cause, the Film Director shall be compensated for all work completed to date plus 15% of the remaining contract value. In the event of termination by the Film Director without cause, any advance payments shall be refunded pro-rata.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the film's content, script, production budget, and any proprietary information exchanged during the course of this engagement. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Egypt Alexandria, pandemics, or acts of war, provided that the affected party notifies the other within 48 hours of the occurrence.
- Entire Agreement: This Purchase Order, together with any attached schedules and the separate Creative Services Agreement dated 01 June 2025, constitutes the entire agreement between the parties regarding the engagement of the Film Director for this production. No oral modifications shall be valid unless reduced to writing and signed by both parties.
