This Purchase Order is issued by Nile Creative Productions S.A.E. to formally engage the services of a qualified Film Director for the feature-length production titled "Shadows of the Nile". The Film Director shall be responsible for the complete creative and artistic direction of the production, including but not limited to pre-production planning, on-set direction of cast and crew, visual storytelling, shot composition, performance coaching, and post-production oversight. All services shall be rendered primarily in Egypt Cairo, with potential secondary locations in the Giza Governorate and the Nile Delta region as specified in the attached production schedule.
The Film Director engaged under this Purchase Order must hold a minimum of ten (10) years of professional experience in feature film direction, with a verifiable portfolio of at least three (3) completed feature films. The Film Director must be fluent in both Arabic and English to effectively communicate with the bilingual cast and crew assembled for this Egypt Cairo production. All creative decisions made by the Film Director shall be subject to final approval by the Buyer's Creative Committee, as outlined in the attached Creative Brief (Appendix A).

Payment for the services rendered under this Purchase Order shall be made in Egyptian Pounds (EGP) via bank transfer to the Supplier's designated account. The payment schedule is structured as follows:

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes arising from this Purchase Order shall be resolved through arbitration in Egypt Cairo under the rules of the Egyptian Arbitration Center.
- Intellectual Property: All creative works, storyboards, shot compositions, and direction materials produced by the Film Director in the course of this engagement shall become the exclusive property of Nile Creative Productions S.A.E. upon full payment. The Film Director retains the right to display the completed film in their professional portfolio.
- Confidentiality: The Film Director agrees to maintain strict confidentiality regarding all production details, scripts, casting information, and creative strategies related to this Egypt Cairo production. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Working Hours and Location: The Film Director shall report to the production office at Nile Creative Studios, Egypt Cairo, no later than 06:00 AM on all scheduled shooting days. Overtime beyond 12 hours per day shall be compensated at 1.5x the daily rate.
- Insurance and Liability: The Supplier shall maintain comprehensive professional liability insurance with a minimum coverage of EGP 5,000,000 throughout the duration of this Purchase Order. The Film Director shall be responsible for personal safety compliance on all Egypt Cairo shooting locations.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination by the Buyer without cause, the Supplier shall be compensated for all services rendered up to the termination date plus a 10% completion bonus.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to government-mandated shutdowns in Egypt Cairo, natural disasters, or public health emergencies.
- Compliance: The Film Director shall comply with all regulations set forth by the Egyptian National Film Organization (NFO) and the Egyptian Film Censorship Board. All materials produced under this Purchase Order must receive the appropriate NFO certification before public distribution.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of Film Director services in Egypt Cairo.
