- Scope of Engagement: This Purchase Order authorizes the engagement of Film Director Antoine Delacroix and his designated team for the full creative and operational leadership of the feature film "Méditerranée Noire." All services shall be rendered exclusively within the metropolitan area of France Marseille and its immediate surroundings, as specified in the attached production schedule.
- Payment Terms: Payment shall be made in three installments: 30% upon signature of this Purchase Order, 50% upon completion of principal photography in France Marseille, and 20% upon delivery of the final cut. All payments shall be processed via bank transfer to the vendor's account in Marseille, France. Late payments shall incur interest at the rate of 1.5% per month in accordance with French commercial law (Code de commerce, Article L441-10).
- Delivery and Schedule: The Film Director shall commence pre-production duties on 1 July 2025 in Marseille. Principal photography is scheduled to run from 15 July 2025 to 25 August 2025. Post-production consultation shall conclude no later than 28 August 2025. Any delays attributable to the Film Director's team shall be subject to a penalty of 0.5% of the total Purchase Order value per calendar day of delay.
- Intellectual Property: All creative work, including but not limited to shot compositions, directorial interpretations, storyboard materials, and editorial decisions produced by the Film Director during the term of this Purchase Order, shall be the exclusive property of Provenance Films SARL upon full payment. The Film Director retains moral rights (droit moral) as protected under French intellectual property law (Code de la propriété intellectuelle).
- Compliance with French and Marseille Regulations: The Film Director and all crew members shall comply with all applicable French labor laws, health and safety regulations, and the specific filming permits issued by the Mairie de Marseille. The Film Director shall ensure that all crew members hold valid professional cards (cartes professionnelles) as required by the CNC (Centre national du cinéma et de l'image animée).
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns in France Marseille, or pandemics, as defined under Article 1218 of the French Civil Code.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of France. Any disputes arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Marseille, France.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the creative content, production budget, and all terms of this Purchase Order. The Film Director shall not disclose any production details related to "Méditerranée Noire" to third parties without prior written consent from Provenance Films SARL.
- Termination: Either party may terminate this Purchase Order with 15 days' written notice in the event of material breach by the other party. In the event of termination, the Film Director shall be compensated for all services rendered up to the date of termination, plus a reasonable wind-down fee not exceeding 5% of the remaining Purchase Order balance.
