This Purchase Order is issued by Frankfurt Media Productions GmbH for the engagement of a qualified Film Director to oversee, direct, and manage the principal photography and creative execution of the feature-length production titled "Confluence of the Main". All services under this Purchase Order shall be performed exclusively within the jurisdiction of Germany Frankfurt and its immediate metropolitan area, including but not limited to the districts of Frankfurt am Main, Offenbach, and the surrounding Hesse region.
The Film Director engaged under this Purchase Order shall be responsible for the complete artistic and technical direction of the production, including but not limited to: pre-production planning and script interpretation, casting coordination, on-set direction of all principal and supporting actors, collaboration with the cinematography and sound departments, review and approval of all dailies, and final creative oversight through the editing and post-production phases. The Film Director must hold a valid professional credential recognized by the German Film Academy (Deutsche Filmakademie) and possess a minimum of ten (10) years of documented experience directing narrative features in the German-speaking market.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany.
- Performance Location: All services rendered under this Purchase Order by the Film Director shall take place in Germany Frankfurt. The Film Director shall maintain a primary working base in Frankfurt am Main for the entire duration of the engagement. Travel to and from Germany Frankfurt for the Film Director is included in the contracted rates.
- Payment Schedule: Payment shall be made in four (4) equal installments of € 47,897.50 (inclusive of VAT), due at the following milestones: (a) upon execution of this Purchase Order; (b) upon completion of pre-production; (c) upon completion of principal photography; and (d) upon final delivery of the completed film. Payment shall be made via SEPA bank transfer to the account designated by the Service Provider.
- Intellectual Property: All creative work, direction, and artistic output produced by the Film Director under this Purchase Order shall be the exclusive property of Frankfurt Media Productions GmbH upon full payment. The Film Director retains moral rights as defined under German copyright law (Urheberrechtsgesetz).
- Confidentiality: The Film Director agrees to maintain strict confidentiality regarding all production materials, scripts, storyboards, and business information encountered during the execution of this Purchase Order in Germany Frankfurt. This obligation survives termination for a period of five (5) years.
- Insurance and Liability: The Film Director shall maintain professional liability insurance with a minimum coverage of € 2,000,000 for the duration of this Purchase Order. The Service Provider shall indemnify the Purchasing Entity against any claims arising from the Film Director's negligence or breach of contract.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Film Director shall be compensated for all services rendered up to the date of termination, and the Purchasing Entity shall be entitled to a full refund of any pre-paid amounts for services not yet performed.
- Compliance: The Film Director shall comply with all applicable German labor laws, data protection regulations (GDPR), and film industry standards as enforced by the German Film Commission and the Hesse state authorities in Germany Frankfurt.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or pandemics affecting operations in Germany Frankfurt.
