This Purchase Order is issued by Munich Cinematic Productions GmbH (hereinafter referred to as the "Buyer") to engage the services of Film Director Hans-Georg Weber (hereinafter referred to as the "Film Director" or "Supplier") for the full creative and operational direction of the feature film production titled "Alpenlicht". This Purchase Order constitutes a binding contractual agreement for the procurement of Film Director services to be executed primarily in Germany Munich and its surrounding production facilities. The Film Director shall be responsible for all artistic, interpretive, and on-set leadership duties as outlined in the line items below.

3.1 Acceptance. This Purchase Order shall become effective upon written acceptance by the Film Director. The Film Director must sign and return a copy of this Purchase Order to Munich Cinematic Productions GmbH within five (5) business days of receipt. Failure to return the signed Purchase Order within this period shall be deemed a rejection of the offer.

3.2 Performance Location. All services rendered under this Purchase Order shall be performed in Germany Munich, with the primary production base at Bavaria Film Studios, Geiselgasteig, 81679 Munich, Germany. The Film Director shall be available on-site for the full duration of principal photography as specified in Line Item 03.

3.3 Payment Schedule. Payment for this Purchase Order shall be made in three (3) installments: (a) 30% upon execution of this Purchase Order; (b) 50% upon completion of principal photography; (c) 20% upon delivery of the final director's cut. All payments shall be made via bank transfer to the account designated by the Film Director. Invoices must reference Purchase Order number GM-2025-04871.

3.4 Intellectual Property. All creative work, directorial interpretations, shot compositions, and editorial decisions produced by the Film Director under this Purchase Order shall become the exclusive property of Munich Cinematic Productions GmbH upon full payment. The Film Director retains the right to display the completed film in professional festival submissions and portfolio presentations, subject to prior written approval from the Buyer.

3.5 Confidentiality. The Film Director agrees to maintain strict confidentiality regarding all production materials, scripts, cast identities, and business strategies disclosed during the engagement. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.

3.6 Force Majeure. Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates, or pandemics affecting production in Germany Munich. Affected parties must notify the other within 48 hours of the occurrence.

3.7 Termination. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Film Director shall be compensated for all services rendered up to the termination date, plus a reasonable wind-down fee not exceeding 10% of the remaining contract value.

3.8 Compliance. The Film Director warrants that all services shall comply with applicable German labor laws, the German Film Act (Filmförderungsgesetz), and all municipal regulations governing film production in Munich, Germany. The Film Director shall hold all necessary professional credentials and insurance coverage for on-set operations in Germany Munich.
